uarantorinsuchformastheAgentandtheMajorityLendersmayrequireintheirsolediscretion;GuarantyAgreementmeansasupplementalindenture,inaformsatisfactorytotheTrustee,pursuanttowhichaSubsidiaryGuarantorguaranteestheCompany’sobligationswithrespecttotheSecuritiesonthetermsprovidedforinthisIndenture.ManagementGuaranteesmeansguarantees(x)ofuptoanaggregateprincipalamountoutstandingatanytimeof$25.0millionofborrowingsbyManagementInvestorsinconnectionwiththeirpurchaseofManagementStockor(y)madeonbehalfof,orinrespectofloansoradvancesmadeto,directors,officers,employeesorconsultantsofanyParent,theCompanyoranyRestrictedSubsidiary(1)inrespectoftravel,entertainmentandmoving-relatedexpensesincurredintheordinarycourseofbusiness,or(2)intheordinarycourseofbusinessand(inthecaseofthisclause(2))notexceeding$10.0millionintheaggregateoutstandingatanytime.SubsidiaryGuarantiesmeans,collectively,theForeignSubsidiaryGuarantiesandtheUSSubsidiaryGuaranties.AdditionalGuaranteemeansaguaranteeoftheObligationsprovidedbyaNewGuarantorinaformandsubstancesubstantiallythesameastheotherGuarantees(reflectinganynecessarylogicalandfactualchanges),withsuchchanges,orotherwiseinformandsubstance,reasonablysatisfactorytoeachoftheAgents.CONSTRUCTIONGUARANTEEmeansaguaranteeatcallobtainedbythecontractorfromaninstitutionapprovedbytheemployerintermsoftheemployer'sconstructionguaranteeformasselectedinthescheduleGuarantymeans,withrespecttoanyPerson,anyobligation(excepttheendorsementintheordinarycourseofbusinessofnegotiableinstrumentsfordepositorcollection)ofsuchPersonguaranteeingorineffectguaranteeinganyindebtedness,dividendorotherobligationofanyotherPersoninanymanner,whetherdirectlyorindirectly,including(withoutlimitation)obligationsincurredthroughanagreement,contingentorotherwise,bysuchPerson:HoldingsGuarantymeanstheHoldingsGuarantymadebyHoldingsinfavoroftheAdministrativeAgentonbehalfoftheSecuredParties,substantiallyintheformofExhibitF-1.PerformanceGuaranteemeansthesecuritytobeprovidedbytheContractorinaccordancewithSubClause10.1forthedueperformanceoftheContract.SubsidiariesGuarantyshallhavethemeaningprovidedinSection6.10.
