AsamemberofLinkedIn,youalsohaveagreedtoour UserAgreement, PrivacyPolicy and CookiePolicy -thesetermsareadditionalagreementswithLinkedInrelatingspecificallytoyouruseofourAPIs. 1.1AboutUsandTheseAPITermsofUse   YouagreethatbydevelopingontheLinkedInplatform,youareagreeingtoenterintoalegallybindingcontractwithLinkedInCorporation(ifyouareanindividualresidingoutsideoftheDesignatedCountriesorifyouareabusinessentitywithaprincipalplaceofbusinessoutsideoforwithaheadquartersbasedoutsideoftheDesignatedCountries),1000WestMaudeAvenue,Sunnyvale,California94085,USAorLinkedInIrelandUnlimitedCompany(ifyouareanindividualresidingintheDesignatedCountriesorifyouareabusinessentitywithaprincipalplaceofbusinessinorwithheadquartersbasedintheDesignatedCountries),GardnerHouse,WiltonPlaza,WiltonPlace,Dublin2,Ireland(“we,”“us,”“our,”and“LinkedIn”). Weusetheterm“DesignatedCountries”torefertocountriesintheEuropeanUnion(EU),EuropeanEconomicArea(EEA)aswellasSwitzerlandandtheUnitedKingdom.   Byregisteringasoftwareapplication,website,orproductorserviceyouoffer(an“Application”)atthe LinkedIndevelopersite (the“DeveloperSite”),youacknowledgethatyouarecurrentlyamemberofLinkedIningoodstandingandhaveunderstoodandagreetobeboundbytheseLinkedInAPITermsofUse(the“Terms”). Ifyouaredevelopingonourplatformonbehalfofacompanyorotherentity,yourepresentandwarrantthatyouhavefulllegalauthoritytoregisteranApplicationonbehalfofthatentityandbindittotheseTerms.Ifyouarenotauthorized,youmaynotaccepttheTermsorregisteranApplicationforsomeoneelse. TheseTermsgovernyouruseofourAPIs.IfyouhaveexecutedanotheragreementwithusrelatedtoyouruseofourAPIs,thenthosetermswouldcontrolyouruseofourAPIs. LinkedInalsooffersavarietyofplugins,governedbytheseTermsandtheLinkedIn PluginsLicenseAgreement. 1.2ScopeandIntent   LinkedInmakesAPIsavailabletodevelopersasfollows: (1)"Self-ServeAPIProgram" whereyoucandevelopApplicationsusingAPIsthatareavailabletoyouimmediatelyuponregistrationforanAPIkeyonourDeveloperSiteifyoumeettheSelf-ServeAPIProgrameligibilitycriteriasetforthbelowandhaveagreedtotheseTerms;and (2)"VettedAPIProgram(s)"whereyoucandevelopApplicationsusingAPIsthatareavailableonlytodevelopersthatmeettheapplicableVettedAPIProgrameligibilitycriteriaandhaveagreedtotheseTermsandanyadditionalVettedAPIProgramtermsandconditions("AdditionalTerms"),whichareincorporatedbyreferenceintotheTerms. WithrespecttoaVettedAPIProgram,theseAPITermsofUseshallapplyexceptwherethereisconflictwiththeapplicableAdditionalTerms,inwhichcasesuchAdditionalTermsshallcontrol.  TheseTermsshallapplytoanyuseofourAPIsunlessyouhaveexecutedaseparatesignedpartnershipagreement,inwhichcasethatagreementshallapply("PartnerProgram"). LinkedInalsooffersavarietyofpluginsyoucanintegrateintoyourwebsitetoallowvisitorstoaccessandviewContentfromLinkedInwebsitesifyouhaveagreedtobebound,inadditiontotheseTerms,totheLinkedIn PluginsLicenseAgreement. AsusedintheseTerms,"APIs"meansprogrammaticwebAPIs,softwareandotherfunctionalityandtheirassociatedtoolsanddocumentationthatLinkedInmakesavailableontheDeveloperSite. InadditiontocompliancewiththeseTerms,youruseofourAPIsandContentmustcomplywiththeDeveloperDocumentationthatweprovidetoyou. 1.3DeveloperDocumentation   YouruseofanyofourAPIsanddisplayofContentinyourApplicationmustcomplywiththetechnicaldocumentation,usageguidelines,callvolumelimits,andotherdocumentationmaintainedattheDeveloperSiteorotherwisemadeavailabletoyou(together,the“DeveloperDocumentation”,whichareexpresslyincorporatedintotheseTermsbyreference). “Content”meansanydataorcontentfromourServicesoraccessedviatheAPIs. “Services”meansLinkedIn.com,LinkedIn-brandedapps,Slideshare,LinkedInLearningandotherLinkedIn-relatedsites,apps,communicationsandservicesandtechnologyrelatedthereto. IntheeventofanyconflictbetweentheDeveloperDocumentationandtheseTerms,theseTermsshallcontrol.   Youmayusetheself-serveAPIsifyourApplicationfollowstheseTerms,theDeveloperDocumentation,andisdesignedtohelpMembersbemoreproductiveandsuccessful. YoumaynotusetheAPIsifyourApplication:exceedsareasonableamountofAPIcalls;reliesfundamentallyontheAPIs;orisusedforhiring,marketing,selling,orlearning. 1.4Self-ServeAPIProgramEligibilityCriteria InadditiontoyourcompliancewiththeotherrequirementsandobligationssetforthintheseTerms,youmayparticipateintheSelf-ServeAPIProgramanddisplayContentretrievedviatheapplicableAPIsinyourApplicationif: 1.   youaredevelopinganApplicationdesignedtohelpLinkedInregisteredusers(“Members”)bemoreproductiveandsuccessfulacrosstheweb;forexample,byaugmentingtheirprofileandprofessionalbrandinanApplicationforpublishing,discussingandsharingcontentwithlike-mindedprofessionals. 2.    yourApplicationisNOTexpectedtohavemorethan100,000lifetimeusers. 3.    yourApplicationDOESNOTmakemorethan250,000dailycallstoanAPI. 4.    yourApplicationDOESNOTrelyonaccesstotheAPIsasafundamentalaspectofyourbusiness. 5.    yourApplicationDOESNOTtargetcurrentorpotentialpayingcustomersofLinkedInproductsorpeopleengaginginactivitiesrelatedtothoseproducts—inotherwords,Applicationsusedforhiring,marketing,selling,orlearning.Herearesomeexamples(andexceptions)ofwhatwemeanbyhiring,marketing,selling,andlearning: Hiring:Applicationstofindajoborfillajob,suchasonesusedtoadvertise,post,applyfor,searchfor,recommend,refer,suggest,enhancelistingsfor,orfillpermanentjobs,contractpositions,orvolunteeropportunities,orforanythingwithsimilarfunctionality(youcan,however,usetheAPIstodevelopanApplicationtoletpeopleapplyforajobatyourcompanyonyourcompany’scareersite,aslongasitabidesbythe specificationssetforthhere). Marketing:Applicationsusedbymarketersortheircustomersformarketingcampaigns,leadgeneration,campaignanalysis,orforanythingwithsimilarfunctionality(forexample,yourApplicationmaynotuseourAPIstocreateorsupplementusersegmentsfortargetingbyadcampaigns). Selling:Applicationsusedbysalesorothersellingprofessionalsforgeneratingorfindingprospectsorleads,forsalesintelligenceortraining,forrelationshipmanagement,forsystematicmatchingofindividualswiththeirLinkedInprofiles,orforanythingwithsimilarfunctionality. Learning:Applicationsusedtosurfaceordeliverprofessionallearningcontenttousersorotherplatforms,ortrackandmanagelearningactivity,orwithfunctionalitytopostprofessionalcredentialstootherplatforms. Youcan,however,useSignInWithLinkedInonplatformsthatsurfaceordeliverothertypesoflearningcontent. IfyourApplicationdoesnotsatisfytheaboveeligibilitycriteria,youmaybeeligibleforaVettedAPIProgramoraPartnerProgram.FormoreinformationaboutthoseAPIprograms’applicationprocesses,eligibilitycriteriaandtheareaswhereweareseekingpartners, pleasechecktheDeveloperSite. 2.AccesstotheAPIs ToaccesstheAPIsyoumustsign-intoLinkedIn,andregisteranApplication. WemayusetheinformationyousharewithLinkedInforvariouspurposesasdescribedintheseTerms. 2.1  ApplicationRegistration TobeginusingtheAPIs,youmustfirstsign-intoLinkedInusingyourpersonalorcorporateLinkedInaccountusernameandpassword,andthenregisteryourApplicationbyclicking MyApps andfollowingtheinstructionsprovidedthereafter.BoththeApplicationregistrationandyourMemberaccountmustcontainaccurateandup-to-dateinformationatalltimes,includingyourcurrenttitle,company,ande-mailaddress. Youagreethatwecanuse,store,andshareinformationsubmittedbyyoutoLinkedIninconnectionwithyourApplicationtocontactyou,forattributionpurposes,handlinginquiriesfromMembersorpotentialMembersaboutyourApplication,forotherpurposesundertheseTerms(forexample,wemayemailyouwithupdatesregardingthedeveloperprogram),andasotherwisepermittedinourPrivacyPolicy. Youacknowledgethatifyousharethecontactinformationofyouremployeesorindependentcontractorswithus,wemaycontacttheminaccordancewiththeseTerms. OnceyouhavesuccessfullyregisteredanApplicationandmettheotherrequirementsforaparticularAPI,youwillbegiventhenecessarycredentialstoaccessthatAPI. Allactivitiesthatoccurusingthoseaccesscredentialsareyourresponsibility. 2.2  AccessCredentials OnceyouhavesuccessfullyregisteredanApplicationandmettheotherrequirementsforaparticularAPI,youwillbegivenAccessCredentialsforyourApplication.“AccessCredentials”meansthenecessarysecuritykeys,secrets,tokens,andothercredentialstoaccesstheapplicableAPIs.TheAccessCredentialsenableustoassociateyourAPIactivitywithyourApplicationandtheMembersusingit.AllactivitiesthatoccurusingyourAccessCredentialsareyourresponsibility.KeepyourAccessCredentialssecret.Donotsell,share,transfer,orsublicensethemtoanyotherpartyotherthanyouremployeesorindependentcontractorsinaccordancewithSection3.1below.DonottrytocircumventthemanddonotrequireyouruserstoobtaintheirownAccessCredentialstouseyourApplication(forexample,inanattempttocircumventcalllimits). YoumaycreateLinkedIntestprofilestotestyourApplication,providedthattheydonotinteractwithrealMembersorcompanyorotherorganizationpagesonLinkedIn. 2.3  TestProfiles YoumaycreateuptofivetestLinkedInprofilesforpurposesoftestingyourApplicationonly.Youmustcreatetheprofilesmanuallyandnotviaautomatedmeans,suchasscripts. Testprofilesmust:(a)bestandardLinkedInmemberprofiles;(b)notinteractwithnon-testprofiles(forexample,youcannotusetestaccountstocommentonpostsandyoucannotconnecttestprofileswithnon-testprofiles,suchasyourownpersonalLinkedInprofile);and(c)notoverrideourAPIcalllimits. Youmustclearlyidentifytheprofilesastestprofiles,andyoumustidentifytheseadditionalaccountprofilesas“developers”inyourApplicationregistration.Youmaynotcreateanyprofilepositionsatrealcompanies(besidesyourown)forthetestprofiles. IfyouagreetoandfollowtheseTerms,youarepermittedtouseourAPIsinconnectionwithyourApplication. 2.4  APILicense SubjecttoyourcompliancewiththeseTerms,wegrantyoualimited,non-exclusive,non-sublicensable(excepttoindependentcontractorssotheymayhost,develop,test,operate,modifyorsupportyourApplicationinaccordancewithSection3.1),non-transferable,non-assignablelicenseunderLinkedIn’sintellectualpropertyrightsduringtheDuration(asdefinedinSection11.1,below)(a)tousetheAPIstodevelop,test,operateandsupportyourApplication;(b)todistributeorallowaccesstoyourintegrationoftheAPIswithinyourApplicationtoendusersofyourApplication;and(c)todisplaytheContentaccessedthroughtheAPIswithinyourApplication. Youhavenorighttodistributeorallowaccesstothestand-aloneAPIs.   3.UseofAPIsandLinkedInContent Youmustnot: a.HarmMembers; b.ProvidetheAPIsorAccessCredentialstounauthorizedpersonnel; c.ImpersonateormisrepresentaMember; d.UsetheAPIsorContentforillegalpurposes; e.Removeanyproprietarynoticesfromourmaterials; f.UsemoreContentthanyourApplicationneeds; g.DistributeContenttoanybodyotherthanyourApplication’susers; h.UsetheContentforanyotherpurposeotherthanforyouruserstouseinyourApplication; i.UsedatafromtheAPIsorServicesforadvertisingormassmessaging; j.ExpressorimplythatyourApplicationoryouruseofContentissponsoredbyLinkedIn; k.UsetheAPIsinanabusiveway; l. DisruptorinterferewiththeServicesoroursystems; m.ObfuscateLinkedInelementsfromyourusers; n.ProxyLinkedInusernamesorpasswords; o.Modifyanyofourmaterials; p.UseContentforcreditscoringorotherrating purposes; q.UseContenttofacilitatebias; r.UseContenttofacilitategovernmentsurveillance; s.ExceedAPIcalllimits; t.AllowaccesstothestandaloneAPIs; u.CombineanyContentretrievedviatheAPIswithotherLinkedIncontent; v.Attempttore-identifyanonymizeddata; w.AccessaMember’snetworkwithouttheirpermission; x.PermitaMembertosharetheirnetworkthroughyourApplication;or y.ScrapeContentfromtheServices. 3.1GeneralRestrictions InadditiontotheothertermsandconditionsintheseTerms,exceptasexpresslysetforthherein,youagreenottodothefollowing: a.    Implementfeaturesorbusinesspractices,orusetheAPIsorContentinawaythatmayharmtheprofessionalreputation,relationshipsorprofessionalecosystemofMembers; b.   DiscloseorprovidetheAPIsorAccessCredentialstoanypersonorentityotherthantoyouremployeesorindependentcontractors,provided(1)suchemployeesorindependentcontractorsenterintoanagreementwithyouatleastasprotectiveofLinkedIn’srightsasthisAgreement,and(2)youherebyagreetoberesponsiblefor,andliabletoLinkedInfor,anybreachesofsuchagreementsbysuchemployeesorindependentcontractors; c.    RequestorpublishinformationimpersonatingaMember,misrepresentanyuserorotherthirdpartyinrequestinginformationorallowanythirdparty,includingotherMembers,toseeinformationobtainedfromanotherMember’snetworkorthroughanotherMember’sviewoftheServicesorContent;  d.    UsetheAPIsorContentforanyillegalpurposes,orinanymannerwhichwouldviolatetheseTerms,orbreachanylawsorregulationsregardingprivacyordataprotection,orviolatetherightsofthirdpartiesorexposeLinkedInoritsuserstolegalliability; e.    Removeanylegal,copyright,trademarkorotherproprietaryrightsnoticescontainedinoronmaterialsyoureceiveoraccesspursuanttotheseTerms,including,butnotlimitedto,theAPIs,theDeveloperDocumentation,andtheContent; f.     Obtain,displayorusemoreContentthanisminimallyrequiredbytheApplication; g.    Sell,lease,share(withtheexceptionofmakingtheContentavailabletousersthroughtheApplication),transfer,sublicenseorotherwisemakeavailableanyContent,directlyorindirectly,toanythirdparty(e.g.youmaynotsellaccesstoanaggregatedcollectionofMemberprofilesorthemostrelevantMembersforaposition),including,butnotlimitedto,anydatabroker,adnetwork,adexchange,orotheradvertisingmonetization-relatedparty; h.  UsetheContentforanyotherpurposeotherthantoallowyouruserstousetheContentinyourApplication; i.    UseanyContentinanyadvertisementsorforpurposesoftargetingadvertisementsspecificallytoanyindividualuser(whethersuchadvertisementsappearintheApplicationorelsewhere),ortogeneratemassmessages,promotionsoroffers; j.    MakeanystatementsoruseanyAPIorContentinamannerthatexpressesorimpliesthatyou,yourApplicationoryouruseoftheContentissponsoredorendorsedbyLinkedIn(e.g.,youmustnotstateorinanywayimplythatLinkedInhas“verified”or“confirmed”theveracityofanyProfileData); k.  UseanyAPIinanymannerthat,asdeterminedbyLinkedIninitsreasonablediscretion,constitutesabusiveusage; l.    InterferewithordisrupttheServicesorserversornetworksconnectedtotheServices,ordisobeyanyrequirements,procedures,policiesorregulationsofnetworksconnectedtotheServices,ortransmitanyviruses,worms,defects,Trojanhorses,oranyitemsofadestructivenaturethroughyouruseofanyAPI; m.    ObfuscateorhideyourdeploymentoruseofanyLinkedInbuttons,sign-infunctionality,consentorauthorizationflowsfromyourusers; n.    Providefunctionalitythatproxies,requestsorcollectsLinkedInusernamesorpasswords; o.    Copy,adapt,reformat,reverse-engineer,disassemble,decompile,decipher,translateorotherwisemodifyanyAPI,AccessCredential,Content,Services,LinkedInBrandFeaturesorotherinformationorservicefromLinkedIn,throughautomatedorothermeans; p.    UseContentasaninputtoreportsorscoresthatcouldbeusedforthepurposesofdeterminingeligibilityforcredit,insurance,employmentorotherbusinesspurposes,unlessotherwiseexpresslypermittedbyLinkedIn,inwriting,underseparateterms; q.    UseContentinanymannerthatfacilitatesbiasordiscriminatorypractices,includingdata"redlining,"whetherintentionalorinadvertent,basedonanysensitiveorlegallyprotectedcategoriesorcharacteristics;   r.     UseContentinanymannerthatfacilitatesgovernmentsurveillance(eitherdirectlyorasacontractorforagovernmententity); s.    TrytoexceedorcircumventlimitationsonAPIcallsanduse.ThisincludescreatingmultipleApplicationsforidentical,orlargelysimilar,usage; t.    Distributeorallowthirdpartiesaccesstoanystand-aloneAPI; u.  CombineanyContentwithanyotherLinkedIncontent(includingcontentobtainedthroughscraping,crawling,spideringoranyothertechnologyorsoftwareusedtoaccessLinkedIncontent).ThisincludesacquiringsuchLinkedIncontentfromthirdparties; v.  Attempttore-identifyanyde-identifiedoranonymizeddata; w.    AccessaMember’snetworkthroughyourApplicationwithouttheirexpresspermission; x.  PermitaMembertosharetheirnetworksordataabouttheirnetworkstoanyoneelsethroughyourApplication;or y.   Access,store,display,orfacilitatethetransferofanyLinkedIncontentobtainedthroughthefollowingmethods:scraping,crawling,spideringorusinganyothertechnologyorsoftwaretoaccessLinkedIncontentoutsidetheAPIs(suchcontent,collectively,“Non-OfficialContent”).Thisrestrictionapplies(1)whethertheNon-OfficialContentwasobtaineddirectlyorindirectlythroughathirdparty,suchasacustomerorthirdpartydeveloper,and(2)whetherornottheNon-OfficialContentisstoredordisplayedintheApplicationorsomeotherresource,productorservice. Youmustnot:   a.IncludeinappropriatecontentinyourApplication;or   b.CommingleContentwiththirdpartydata.   3.2ExcludedUsesoftheAPIs InadditiontotheothertermsandconditionsintheseTerms,youmustneverdoanyofthefollowingundertheseTerms: a.    UsetheAPIsinanyApplicationthatincludesadultcontent,promotesgambling,involvesthesaleoftobaccooralcoholtopersonsunder21yearsofage,orotherwiseviolatesanyapplicablelaworregulation;or b.    UsetheAPIstoretrieveContentthatisthenaggregatedwiththirdpartydatainsuchawaythatanendusercannotattributetheContenttoLinkedIn(i.e.,aggregatedsearchresults).  4.StorageofContent YoumaynotstoreanyContent,exceptinthespecificcircumstancesoutlined. 4.1  NoStoringAnyContent Youmustnotcapture,copyorstoreanyContentoranyinformationexpressedbytheContent(suchashashedortransformeddata),excepttotheextentpermittedbytheseTerms. YoumuststoreallContentinamannerwhichenablesyoutoidentify,segregateandselectivelydeletesuchContent. TheContentmustnotbestoredinadatarepositorythatwouldenableanythirdpartyaccess(otherthanthecustomerorMembertowhichitrelates).  YoumaystoretheApplication-specificMembertokensandauthenticationtokensacquiredonaMember’sbehalf. 4.2  YouMayStoreTokens YoumaystoretheApplication-specificalphanumericuserIDsthatweprovidetoyouforidentifyingusersofyourApplication(“MemberTokens”)ortheauthenticationtokensthatweprovidetoyouwhenaMemberauthenticatesyourApplicationtotheirLinkedInaccount(“OAuthAccessTokens”). Solelytoimprovetheuserexperience,youmaycacheContentforupto24hours. 4.3  CachingContentforPerformance SolelytoimproveyourApplication’sperformance,youmaycachetheContentforupto24hoursfromarequestforthatContentthroughtheAPIsbeforepermanentdeletion.UnlessotherwisesetforthinthisSection4orinanyapplicableAdditionalTerms,youdonothaveanyrighttostoretheContentbeyondthislimited24hourperiod. Youmaystoreprofiledataifyouhavethelegallyvalid consentoftheMember todoso. YoumayonlyrefreshprofiledatawhentheMemberisactivelyusingyourApplication(i.e.,notoffline). 4.4  MemberProfileData YoumustobtainlegallyvalidconsentfromaMemberbeforeyoumaystorethatMember'sProfileData(forexample,sothataMemberapplyingforajobatyourcompanycanprovideyouwithacopyoftheirLinkedInprofile).  InadditiontotherequirementssetforthbelowinSection5,theprocessforobtainingMemberconsenttostoretheirdatamust,ataminimum,meetthespecificationssetforthhere.“ProfileData”meansanyorallofaMember’sprofiledataavailablethroughanapplicableAPI,subjecttoaMember’sprofilevisibilityandotherprivacysettings.ProfileDataexcludesaMember’snetwork,networkupdates,joblistings,groups,companies,andanyothercontent.  IfyouwanttorefreshtheMember’sProfileData,youmayonlydosowhentheMemberisactuallyusingyourApplicationandnotonanautomatedschedule. YoumustdeleteallMemberdatawhenthatMemberrequestsdeletion,uninstallsyourApplicationorclosestheiraccount. YoudonotneedtodeletedatathataMemberprovidesdirectlytoyou. 4.5  DeleteatMemberRequest YoumustimmediatelydeleteallContentcollectedthroughtheAPIsaboutaparticularMember,includingtheMemberTokenandtheOAuthAccessToken,uponrequestbythatMember,whentheMemberuninstallsyourApplicationorwhentheMemberclosestheiraccountwithyou.  TherestrictionsofthisSectiondonotapplytodatathatMembersprovidedirectlytoyouandthatisseparatelyenteredoruploadedtoyoubytheuserofyourApplication. IfwenotifyyouthatyouhavebreachedtheseTerms,youmustdeleteallstoredLinkedIndata. 4.6  DeleteforBreach YoumustimmediatelydeleteallContentifweterminateyouruseoftheAPIsforbreachoftheseTerms,exceptwhendoingsowouldcauseyoutoviolateanylaworobligationimposedbyagovernmentalauthority. IfyourApplicationisanenterpriseapplication,youmustenterintocustomeragreementswithyourenterprisecustomersthatdescribehowyouwillbeaccessingLinkedInaccountsandContentonthecustomer’sbehalf. YoumustpromptlynotifyusofanybreachesofyouruseragreementorprivacypolicythatimpactormayimpactMembers.Yourprivacypolicymustbeatleastasstringentanduser-friendlyasLinkedIn’s. YoumusttellMemberswhatinformationyourApplicationcollectsandhowit’sused. 5.2LinkedInMemberConsent BeforeobtaininginformationfromMembers,youmustobtaintheirlegallyvalidconsentwhich,ataminimum,shallinclude:(a)howtheirdatawillbeused,(b)whenitwillbecollected(e.g.,willtheApplicationpullaMember’sProfileDatamorethanonce);and(c)howausercanwithdrawtheirconsent. Theconsentmustbefreelygiven(inaccordancewithapplicablelaw)andgivenbyastatementoraclearaffirmativeaction.WhenaparticularMember’sMemberTokenandOAuthAccessTokenexpires,youmustobtainthatMember’sconsentagaininordertocontinuetocollectandstoretheirdata. 6.BrandUse EachpartygrantstotheotheralimitedrighttouseitsbrandstopromoteoradvertiseyourApplication’sintegrationoftheAPIs. 6.1  BrandFeaturesLicenseandPublicityRights SubjecttotheseTerms(includingour BrandingGuidelines),wegrantyoualimited,non-exclusive,non-assignable,non-sublicenseable,andnon-transferablelicenseduringtheDurationtodisplayOurBrandFeatureswithintheApplicationandtoaccuratelypromoteoradvertiseyourintegrationoftheAPIsinyourApplication.“OurBrandFeatures”meansanytradenames,trademarks,servicemarks,logosanddomainnamesthatLinkedInmakesavailabletoyou.  YouagreenottodisplayOurBrandFeatures(a)inanywaythatviolatesapplicablelaw,includinglawsregardinglibel,slander,obscenityandinfringementor(b)inanywaythatismisleading,impliesthatyourApplicationisapproved,createdorendorsedbyLinkedIn(orotherwiseembellishingyourrelationshipwithLinkedIn)orinawaythatisotherwiseobjectionabletoLinkedIninitssolediscretion.Ifyouareplanninganyformal,proactivepressoutreach,youwillsubmitthecontent(pressrelease,blogpost,etc.)tousforpriorwrittenapproval(emailacceptable),unlessexpresslyallowedinour BrandingGuidelines.AnygoodwillinOurBrandFeaturesresultingfromyourusewillinuresolelytoLinkedIn. Yougrantusalimited,non-exclusive,non-assignable,non-sublicensable,andnon-transferablelicenseduringtheDurationtodisplayyourtradenames,trademarks,servicemarks,logosanddomainnames(collectively,“YourBrandFeatures”)topromoteoradvertiseyouruseoftheAPIsinyourApplication. AnygoodwillinYourBrandFeaturesresultingfromourusewillinuresolelytoyou.  Wemay,withoutyourconsent,publiclyrefertoyou,orallyorinwriting,asalicenseeoftheAPIsand/oruseroftheContent.Wemayalsopublishyournameandlogo(withorwithoutalinktoyourApplication)onourServices,inpressreleases,andinpromotionalmaterialswithoutadditionalconsentornoticetoyou. 7.SafetyandAbuse YoursystemsmustbeconfiguredtosecurelyoperateyourApplicationandstoreContent. YouwillcompleteLinkedIn’ssecurityquestionnaireuponrequest. YoumustnotifyLinkedInofanysecurityincidentthatmayaffectLinkedInoritsMembersandyouwillworkwithLinkedIntoremediateanysecurityincident. 7.1  SecurityMeasures a.   RequirementforSecurityMeasures.Yournetwork,operatingsystemandthesoftwareofyourwebservers,databases,andcomputersystems(collectively,“Systems”)mustbeproperlyconfiguredtosecurelyoperateyourApplicationandprocessContent. b.   SecurityQuestionnaire.Ifrequested,youmustcompleteLinkedIn’ssecurityquestionnaire(whichLinkedInwillprovidetoyou). c.   SecurityBreach.Youmustpromptlyreportanysecuritydeficienciesin,orintrusionsto,yourSystemsthatyoudiscover(orarereportedpubliclyortoyou)toLinkedIninwritingviaemailtosecurity@linkedin.comorsubsequentcontactinformationpostedontheDeveloperSiteifsuchintrusionscouldreasonablybeexpectedtoaffecttheContent,LinkedInoritsMembersinanyway.YouwillworkwithLinkedIntoimmediatelycorrectanysecuritydeficiency,andwillimmediatelydisconnectanyintrusionsorintruders.IntheeventofanysecuritydeficiencyorintrusioninvolvingtheApplication,APIsorContent,youwillmakenopublicstatements(e.g.,press,blogs,socialmedia,bulletinboards,etc.)withoutpriorwrittenandexpresspermissionfromLinkedInineachinstance. WemayrestrictaccesstotheAPIsorperformanauditofyourApplicationifyoufailtoprovideadequateinformationandmaterials(includinguptotwofull-featuredinstancesofyourApplication)toverifyyourcompliancewiththeseTerms.   LinkedInmaymonitoranyAPIactivityfromitsownsystems. 7.2  Monitoring Youwillprovideuswithuptotwofull-featureclientaccount-levelinstancestoaccessyourApplication(and/orothermaterialsrelatingtoyouruseoftheAPIsand/ortheContent)asreasonablyrequestedbyustoverifyyourcompliancewiththeseTerms(including,inparticular,yoursecurityandprivacyobligationsundertheseTerms).  YoualsoagreetoassistLinkedIninverifyingyourcompliancewiththeseTermsbyprovidinguswithinformationaboutyourApplicationandstorageofContent,whichmayincludeaccesstoyourApplicationandothermaterialsorSystemsrelatedtoyouruseoftheAPIs.IfyoudonotdemonstratefullcompliancewiththeseTerms,asdeterminedinoursolediscretion,wemayrestrictorterminateyouraccesstotheAPIs. YouacknowledgethatLinkedInmaymonitoranyAPIactivityfromitsownsystemsforthepurposeofensuringquality,improvingLinkedInproductsandServices,andensuringcompliancewiththeseTerms.YoumustnotinterfereorattempttointerferewithsuchmonitoringorotherwiseobscurefromLinkedInyourAPIactivity.LinkedInmayuseanytechnicalmeanstoovercomesuchinterference. 8.RightsLinkedInReserves AlthoughwemakereasonableeffortstosupporttheAPIs,wehavenoobligationtodoso. Wehavenoobligationtoprovideanytrainingorsupporttoyourcustomers. IfwechangeanyoftheAPIsinthefuture,yourcontinueduseimpliesthatyouagreetoanychangesmade. 8.1  SupportandUpdates WemayprovideyouwithsupportfortheAPIsinoursolediscretionandwemaystopprovidingsupporttoyouatanytimewithoutnoticeorliabilitytoyou. Wearenotobligedtoprovideanytraining,supportortechnicalassistancefortheApplication,theContent,ortheAPIsdirectlytoyourApplicationusersandyouagreetocommunicatetoyourApplicationusersthatyou(andnotLinkedIn)areresponsibleforanysuchsupport.  WemaymodifyorreleasesubsequentversionsoftheAPIsandrequirethatyouusethosesubsequentversions. UnlesswereleaseanewversionoftheAPIsforsecurityorlegalreasons,youwillhaveareasonableamountofnotice(asdeterminedbyus),tomigratetosubsequentversionsoftheAPIs. YouacknowledgethatonceLinkedInreleasesasubsequentversionofanAPI,thepriorversionofsuchAPImaystopworkingatanytimeormaynolongerworkinthesamemanner.YourcontinueduseoftheAPIsfollowingasubsequentreleasewillbedeemedyouracceptanceofmodifications. LinkedIncurrentlydoesnotchargeafeeforuseoftheAPIs,butmaychoosetointhefuture. EachpartybearsitsowncostsinconjunctionwiththeTerms. YoumaynotchargeyourusersincrementalfeesforaccesstoourContentorAPIs. 8.2  CostsandFees TheAPIsarecurrentlyprovidedforfree,butLinkedInreservestherighttochargefortheAPIsinthefuture.IfwedochargeafeeforuseoftheAPIsoranydevelopertoolsandfeatures,youdonothaveanyobligationtocontinuetousetheAPIs.  EachpartywillbearitsowncostsandexpensesinperformingitsobligationsundertheseTerms.  YoumaynotchargeyourApplicationusersincrementalfeesforaccesstoourContentorAPIs. TheseTermsdonotpreventeitherpartyfromdevelopingsomethingsimilartotheother’sapplicationsorservices. 8.3  IndependentDevelopment Eachpartyacknowledgesthattheotherpartymaybeindependentlycreatingapplications,contentandotherproductsorservicesthatmaybesimilartoorcompetitivewiththoseoftheotherpartyandnothingintheseTermswillbeconstruedasrestrictingorpreventingeachpartyfromcreatingandfullyexploitingsuchapplications,contentandotheritems,withoutanyobligationstotheotherparty. 9.Ownership WeowntheAPIs,Content,Servicesandbrand YouownyourApplicationandbrand. 9.1  AllRightsReserved Asbetweentheparties,weownallrights,title,andinterestinandtothe(a)APIs,andallelements,components,andexecutablesoftheAPIs,(b)Content;(c)Services;and(d)OurBrandFeatures(clauses(a)-(d)collectively,the“LinkedInMaterials”),and,subjecttotheforegoing,youownallrights,title,andinterestinandtotheApplicationandYourBrandFeatures.ExcepttothelimitedextentexpresslyprovidedintheseTerms,neitherpartygrants,norshalltheotherpartyacquire,anyright,titleorinterest(includinganyimpliedlicense)inortoanypropertyofthefirstpartyundertheseTerms. AllrightsnotexpresslygrantedintheseTermsarewithheld. YougrantLinkedInalimitedlicensetouseyourApplicationduringthetermoftheseTerms. 9.2  LicensetoYourApplication FortheDurationyougrantusapaid-up,royalty-free,non-exclusive,worldwide,irrevocablerightandlicense,underallofyourintellectualpropertyrights,to:(a)use,perform,anddisplayyourApplicationanditscontentforpurposesofmarketing,demonstrating,andansweringinquiries;(b)linktoanddirectMemberstoyourApplication;and(c)sublicensetheforegoingrightstoLinkedInAffiliates(asdefinedinSection12.3below). Eitherpartyisfreetousesuggestionsorfeedbackthatisprovidedbytheotherparty. 9.3  Feedback Eitherpartymayfromtimetotimeelect,initssolediscretion,toprovidesuggestions,comments,improvements,ideasorotherfeedbacktotheotherpartyrelatedtotheotherparty’sproductsandservices(”Feedback”).Feedbackisprovidedonan“asis”basiswithnowarrantiesofanykindandthereceivingpartywillhavearoyalty-free,worldwide,sublicenseable,transferable,non-exclusive,perpetualandirrevocablerightandlicensetouseFeedback.EachpartyagreesnottoprovideFeedbackthatitknowsissubjecttoanyintellectualpropertyclaimbyathirdpartyoranylicensetermswhichwouldrequireproductsorservicesderivedfromthatFeedbacktobelicensedtoorfrom,orsharedwith,anythirdparty. 10.FollowtheLawandTheseTerms YourepresentthatyourApplicationwillnotviolateanythirdpartyrightsoranylaw. 10.1 LegalCompliance YourepresentandwarranttoLinkedInthat:(a)youhavetherighttouse,reproduce,transmit,publiclydisplay,publiclyperform,anddistributeyourApplication(excludingLinkedInMaterials);(b)useofyourApplicationbyLinkedInanditsMembersinaccordancewiththeApplication’stermsofusewillnotviolatetherightsofanythirdparty(e.g.,copyright,patent,trademark,privacy,publicityorotherproprietaryrightofanypersonorentity),oranyapplicableregulationorlaw,includingtheDigitalMillenniumCopyrightAct,thelawsofanycountryinwhichyourApplicationismadeavailableandanyapplicableexportlaws;and(c)youwillcomplywithallapplicablelocal,state,federal,andforeignlaws,including,withoutlimitation,anylawsorregulationsrelatingtoprivacyanddataprotectioninconnectionwithitsperformanceundertheseTerms TousetheAPIs,youmustcomplywiththeseTerms,whichmaybeamendedfromtimetotime. Ifyoudon’tagreetothechanges,youmaystopusingtheAPIs. 10.2 CompliancewithandAmendmentstoTheseTerms YoumustcomplywiththeseTermsinordertousetheAPIs. ThemostcurrentversionoftheseTermscanbereviewedontheDeveloperSite. Wereservetherighttomodify,supplement,orreplaceanyprovisionsoftheseTerms,effectiveprospectivelyuponpostingontheDeveloperSiteorotherwisenotifyingyou.Forexample,wemaypresentabannerontheDeveloperSitewhenwehaveamendedtheseTermssothatyoumayaccessandreviewthechangespriortoyourcontinueduseoftheAPIsandDeveloperSite.IfyoudonotwanttoagreetochangestotheseTerms,youcanterminatetheseTermsatanytimeinaccordancewith Section11. TousetheAPIs,youmustalsocomplywiththeseotheragreementsandpolicies. 10.3 OtherObligations InadditiontoanyotherdocumentsincorporatedbyreferenceintotheseTermsabove,youandyourApplicationmustalsocomplywiththefollowing,whichareherebyincorporatedbyreference: a.    TheLinkedInUserAgreement; b.    TheLinkedInPrivacyPolicy; c.    TheLinkedInCookiePolicy; d.    TheDataProcessingAgreement;and e.    TheBrandingGuidelines. Intheeventofanyconflictbetweenthecontentinthisdocumentandtheabovedocuments,withtheexceptionoftheDataProcessingAgreement;thisdocumentcontrolsyouruseoftheAPIs.IfyoudisagreewithanyoftheprovisionsintheseTerms,donotaccessorusetheAPIs. 11.TermandTermination TheseTermswilllastfromwhenyouagreetothemuntiltheyendasdescribedinthisSection. 11.1 DurationofTerms ThedurationoftheseTerms(the“Duration”)willbefromthedateuponwhichyouagreetotheseTermsandwillcontinueuntilterminatedassetforthbelow. YoumayterminatetheseTermsbydiscontinuinguseoftheAPIs. 11.2 YourTerminationRights YoumayterminatetheseTermsbydiscontinuinguseofourAPIs. WemaysuspendorterminatetheseTermsoryouraccesstotheAPIsatanytimeforanyreason. 11.3 Suspension;Termination WemaysuspendorterminateyouruseofalloranyoftheAPIsorContentatanytimeifwebelieveyouhaveviolatedtheseTerms,or,inoursolediscretion,webelievetheavailabilityoftheAPIsinyourApplicationisnotinourorourmembers’bestinterests. WemaydiscontinuetheavailabilityofsomeoralloftheAPIsoranyContentatanytimeforanyreason. Weshallprovideyouwith30daysnoticeunlesswediscontinuesuchavailabilitytoprotectthesecurityorintegrityoftheAPIsandrelatedofferings,toaddressusersecurityoruserprivacyissues,forlegalcompliancereasons,ortotheextentnecessarytomitigatedamagesinrelationtothirdpartylitigation.  WemayalsoimposelimitsoncertainfeaturesandservicesorrestrictyouraccesstosomeoralloftheAPIs,ContentorourServices.AlthoughwewillendeavortoprovidepriornoticeofourexerciseofourrightspursuanttothisSection,itmaynotbepracticalorcommerciallyreasonableinallcircumstances. Accordingly,allofourrightsintheseTermsmaybeexercisedwithoutpriornoticeorliabilitytoyou. EitherpartymayterminatetheseTermsforreasonsofbankruptcy,insolvency,ormaterialbreach. 11.4 TerminationforCause EitherpartymayterminatetheseTerms:(a)iftheotherpartyfilesavoluntarypetitionforbankruptcyorapetitionoranswerseekingareorganization;(b)iftheotherpartyhasfiledagainstitaninvoluntarypetitionforbankruptcythathasnotbeendismissedwithin60daysthereof;(c)iftheotherpartybecomesinsolvent,admitsinwritingitsinabilitytopayitsdebtsastheymature,ormakesanassignmentforthebenefitofitscreditors;(d)iftheotherpartyappliesfororconsentstotheappointmentofareceiver,trusteeorliquidatorforsubstantiallyallofitsassetsorsuchreceiver,trusteeorliquidatorisappointedfortheotherparty;or(e)upontheoccurrenceofamaterialbreachoftheseTermsbytheotherparty,ifsuchbreachisnotcuredwithin10daysafterwrittennoticeidentifyingthematterconstitutingthematerialbreachisprovidedbythenon-breachingparty. ImmediatelyuponterminationoftheseTerms,alllicensesgrantedwillceaseand,ifrequiredbytheseTerms,allContentmustbedeleted. 11.5 EffectofTermination UponterminationoftheseTerms: a.  alllicensesgrantedundertheseTermswillterminateimmediately; b.  uponrequest,eachpartywillpromptlyreturntotheotherpartyordeletealltangibleembodimentsofconfidentialinformationofsuchpartyinitspossession,custodyorcontrol; c.  youwillcomplywiththerequirementstodeletestoredContent;and d.  LinkedInwillmakecommerciallyreasonableeffortstoremoveallreferencesandlinkstoyourApplicationfromtheServices(LinkedInhasnootherobligationtodeletecopiesof,referencesto,orlinkstoyourApplication). Notwithstandingtheabove,eachpartymayretainacopyoftheseTermsandsuchotherconfidentialinformationoftheotherpartyasreasonablyrequiredforlegalandauditingpurposes.LinkedInmayrequestthatyoucertifyinwritingyourcompliancewiththisSection. YouwillindemnifyusforyourbreachoftheseTermsandforanyintellectualpropertyclaim. LinkedInisnotagreeingtoindemnifyyou. 12.4YourIndemnificationObligations Youwilldefend,holdharmless,andindemnifyLinkedInandtheLinkedInAffiliates(andourandtheirrespectiveemployees,shareholders,anddirectors)fromanyclaimoractionbroughtbyathirdparty,includingalldamages,liabilities,costsandexpenses,includingreasonableattorneys’fees,totheextentresultingfrom,allegedtohaveresultedfrom,orinconnectionwith:(a)yourbreachofyourobligationsherein;or(b)theviolationofanycopyright,trademark,servicemark,tradesecretorpatentbytheApplication,FeedbackorYourBrandFeatures. 13.DisputeResolution AnylegaldisputearisingoutoftheseTermswilltakeplaceinCaliforniacourts(usingCalifornialaw)orIrelandcourts(usingIrishlaw),dependingonwhereyoureside,haveyourprincipalplaceofbusiness,orareheadquartered. 13.1 LawandForumforLegalDisputes TheseTermsandanyclaim,causeofactionordispute(“Claim”)arisingoutoforrelatedtotheseTermsshallbegovernedasfollows.  IfyouliveintheDesignatedCountries,thelawsofIreland,excludingitsconflictoflawsrules,shallexclusivelygovernanydisputerelatingtotheseTermsand/ortheServices. ClaimscanbelitigatedonlyinDublin,Ireland,andweeachagreetopersonaljurisdictionofthecourtslocatedinDublin. Forallothers,includingthosewholiveoutsideoftheUnitedStates,thelawsofthestateofCalifornia,USA,excludingitsconflictoflawsrulesandnotwithstandinganyconflictsoflawprinciplesandtheUnitedNationsConventionfortheInternationalSaleofGoods,shallexclusivelygovernanydisputerelatingtotheseTerms,exceptthattheU.S.FederalArbitrationActgovernseverythingrelatedtoarbitration.AllClaims(exceptthosebroughtinarbitrationandsmallclaimscourt)canbelitigatedonlyinthefederalorstatecourtsinSantaClaraCounty,California,USA,andweeachagreetopersonaljurisdictioninthosecourts. Notwithstandingtheabove,youagreethatLinkedInshallstillbeallowedtoapplyforinjunctiveremedies(oranequivalenttypeofurgentlegalrelief)inanyjurisdiction. IntheeventoflitigationbetweenthepartiesarisingoutoforrelatedtotheseTerms,theprevailingpartywillbeentitledtorecoveritsattorneys'feesandcostsincurred. Forclaimslessthan$10,000,thepartiesmaychoosebindingarbitrationasanalternativetolegalaction. 13.2 ArbitrationOption ForanyClaim(excludingclaimsforinjunctiveorotherequitablerelief)arisingoutoforrelatedtotheseTerms,wherethetotalamountoftheawardsoughtislessthan$10,000,thepartyrequestingreliefmayelecttoresolvetheClaiminacosteffectivemannerthroughbindingnon-appearance-basedarbitration.Intheeventapartyelectsarbitration,theyshallinitiatesucharbitrationthroughanestablishedalternativedisputeresolution(“ADR”)providermutuallyagreeduponbytheparties.
