PagesCloseLegalNavigationGettingstartedOverviewTermsTermsCustomerTermsofServiceUserTermsofServiceCustomer-SpecificSuppl.APITermsofServiceAppDirectoryAgreementServiceLevelAgreementDataProcessingAddendaSlackPartnerProgramTerms&ConditionsPoliciesPoliciesPrivacyShieldNoticeAcceptableUsePolicySlackSubprocessorsSlackAffiliatesDMCAPolicyMulti-yearAccessibilityPlanSecuritySecuritySecurityPracticesReportaVulnerabilitySlackCertifiedProgramSlackCertifiedProgramSlackCertifiedParticipantAgreementSlackCommunitySlackCommunitySlackCommunityForumTermsofServiceArchivesArchivesTerms&PolicyArchivesEffective:September30th,2020TheseSlackAPITermsofService(the"APITerms")describeyourrightsandresponsibilitieswhenaccessingourpubliclyavailableapplicationprogramminginterfaces(the"APIs")andrelatedAPIdocumentation.Pleasereadthemcarefully.Wearegratefulyou'rehere.FirstThingsFirstRelationships&DefinitionsTheseAPITerms,togetherwiththeSlackApplicationDeveloperPolicyformabinding"Contract"betweenyouandus."We,""our"and"us"referstotheapplicableSlackentityinthesectionentitled"WhichSlackEntityareYouContractingWith?"below,and"you,"and"your,"referstotheindividual,companyorlegalentitythatyourepresent.TheContractdoesnotgrantyouanyrighttoaccessoruseouronlineworkplaceproductivitytoolsandplatform(the"Services")oranyofournon-publicapplicationprogramminginterfaces,whichwillbegovernedbyaseparateagreementwithus(e.g.,ourCustomerTermsofService).TheSlackExtendedFamilyWemayleverageouremployees,thoseofourcorporateaffiliatesandthirdpartycontractors(the"SlackExtendedFamily")inexercisingourrightsandperformingourobligationsundertheContract.WewillberesponsiblefortheSlackExtendedFamily’scompliancewithourobligationsundertheContract.AccesstoOurAPIsYourApplicationsSubjecttotherestrictionsbelow,wegrantyouanon-exclusive,worldwide,non-transferable(subjecttothesectiontitled"Assignment"),limitedlicensetoaccessourAPIsanddocumentationonlyasnecessarytodevelop,testandsupportanintegrationofyourapplication(an"Application"or"App")withtheServices.YoumaychargeforyourApplication;however,youmaynotsell,rent,lease,sublicense,redistribute,orsyndicateaccesstoanyofourAPIs.HereAretheRulesYourlicensetoaccessourAPIsanddocumentationislimitedandsubjecttocompliancewiththeSlackApplicationDeveloperPolicyandSlack’sBrandGuidelines.Further,youwillnot:(A)accessourAPIsordocumentationinviolationofanylaworregulation;(B)accessourAPIsinanymannerthat(i)compromises,breaksorcircumventsanyofourtechnicalprocessesorsecuritymeasuresassociatedwiththeServices,(ii)posesasecurityvulnerabilitytocustomersorusersoftheServices,or(iii)teststhevulnerabilityofoursystemsornetworks;(C)accessourAPIsordocumentationinordertoreplicateorcompetewiththeServices;(D)attempttoreverseengineerorotherwisederivesourcecode,tradesecrets,orknow-howofourAPIsorServices;or(E)attempttouseourAPIsinamannerthatexceedsratelimits,orconstitutesexcessiveorabusiveusage.Transparency&ReportingIfyouofferyourApplicationforusebyothersoutsideyourorganization,youmustmaintainauseragreementandprivacypolicyforyourApplication,whichisprominentlyidentifiedorlocatedwhereusersdownloadoraccessyourApplication.Yourprivacypolicymustmeetapplicablelegalstandardsanddescribethecollection,use,storageandsharingofdatainclear,understandableandaccurateterms.Youarerequiredtofollowapplicablelegalrequirementsiftheuseofyourappwillresultintheinternationaltransferofpersonaldata.Youmustpromptlynotifyusinwritingviaemailtosecurity@slack.comofanybreachesofyouruseragreementorprivacypolicythatimpactormayimpactcustomersorusersoftheServices.PleasereviewourPrivacyPolicyformoreinformationonhowwecollectandusedatarelatingtotheuseandperformanceofourwebsitesandproducts.OurRighttoSuspendAccessandAuditIfwebelievethatthereisaviolationoftheContractthatcansimplyberemediedbyyourmodificationorupdateofyourApplication,wewill,inmostcases,askyoutotakedirectactionratherthanintervene.Insuchinstance,wemayuseyourname,addressandothercontactdetailstocontactyouorprovidethiscontactinformationtoanythirdpartythatreasonably,inSlack'ssoledetermination,claimsthatyoudonotpossessallofthenecessaryintellectualpropertyrights.Insomeinstances,wemaydirectlystepinandtakewhatwedeterminetobeappropriateactionifyouarenotresponsive,orifwebelievethereisacredibleriskofharmtous,theServices,ourcustomersorusersoranythirdparties.Slackalsoreservesarighttoaudityourapplicationtoensureitdoesnotviolateourtermsandpolicies.Youagreethatyouwillcooperatewithinquiriesrelatedtosuchanauditandprovideuswithproofthatyourapplicationcomplieswithourtermsandpolicies.OwnershipandProprietaryRightsReservationofRightsYouretainyourownershiprightsinyourApplicationandweownandwillcontinuetoownourAPIs,documentationandServices,includingallrelatedintellectualpropertyrightstherein.AllofourrightsnotexpresslygrantedbytheContractareherebyretained.FeedbackisWelcomeThemoresuggestionsourdevelopersmake,thebetterourAPIsbecome.IfyousendusanyfeedbackorsuggestionsregardingtheAPIsordocumentation,thereisachancewewilluseit,soyougrantusanunlimited,irrevocable,perpetual,sublicensable,transferable,royalty-freelicensetouseanysuchfeedbackorsuggestionsforanypurposewithoutanyobligationorcompensationtoyou.Ifwechoosenottoimplementthesuggestion,pleasedon’ttakeitpersonally.Weappreciateitnonetheless.TerminationYoumayterminatetheContractbydiscontinuinguseofourAPIs.WemayterminatetheContractwithorwithoutcause,andwithoutnoticetoyou.UponterminationoftheContract,allrightsandlicensesgrantedtoyouwillterminateimmediately.YouunderstandthatanyAPIsordocumentationthatarenotmadegenerallyavailablebutthatareotherwisemadeavailabletoyouaretheconfidentialinformationofSlack.UponterminationoftheContract,youwillpromptlydestroycopiesofanydocumentationandanyotherSlackinformationinyourpossessionorcontrolthatwasreceivedundertheContract.Representations;DisclaimerofWarrantiesYourepresentandwarrantthatyouhavevalidlyenteredintotheContractandhavethelegalpowertodoso.EXCEPTASEXPRESSLYPROVIDEDFORHEREIN,THEAPIS,DOCUMENTATIONANDALLRELATEDCOMPONENTSANDINFORMATIONAREPROVIDEDBYUSONAN"ASIS"AND"ASAVAILABLE"BASISWITHOUTANYWARRANTIESOFANYKIND,ANDWEEXPRESSLYDISCLAIMANYANDALLWARRANTIES,WHETHEREXPRESSORIMPLIED,INCLUDINGTHEIMPLIEDWARRANTIESOFMERCHANTABILITY,TITLE,FITNESSFORAPARTICULARPURPOSE,ANDNON-INFRINGEMENT.YOUACKNOWLEDGETHATWEDONOTWARRANTTHATTHEAPISWILLBEUNINTERRUPTED,TIMELY,SECURE,ORERROR-FREE.LimitationofLiabilityINNOEVENTWILLOURORTHESLACKEXTENDEDFAMILY’SAGGREGATELIABILITYARISINGOUTOFORRELATEDTOTHECONTRACT(WHETHERINCONTRACTORTORTORUNDERANYOTHERTHEORYOFLIABILITY)EXCEEDUS$100.INNOEVENTWILLWEORTHESLACKEXTENDEDFAMILYHAVEANYLIABILITYTOYOUORTOANYTHIRDPARTYFORANYLOSTPROFITSORREVENUESORFORANYINDIRECT,SPECIAL,INCIDENTAL,CONSEQUENTIAL,COVERORPUNITIVEDAMAGESHOWEVERCAUSED,WHETHERINCONTRACT,TORTORUNDERANYOTHERTHEORYOFLIABILITY,ANDWHETHERORNOTYOUORTHETHIRDPARTYHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.THEFOREGOINGDISCLAIMERWILLNOTAPPLYTOTHEEXTENTPROHIBITEDBYAPPLICABLELAW.Thelimitationsunderthis"LimitationofLiability"sectionapplywithrespecttoalllegaltheories,whetherincontract,tortorotherwise,andtotheextentpermittedbylaw.Theprovisionsofthis"LimitationofLiability"sectionallocatetherisksundertheContractbetweentheparties,andthepartieshavereliedontheselimitationsindeterminingwhethertoenterintotheContract.ApplicationofConsumerLawOurAPIsanddocumentationareintendedforusebybusinessesandorganizationsandnotforconsumerpurposes.Tothemaximumextentpermittedbylaw,youherebyacknowledgeandagreethatconsumerlawsdonotapply.Ifhoweveranyconsumerlaws(e.g.,inAustralia,theCompetitionandConsumerAct2010(Cth))doapplyandcannototherwisebelawfullyexcluded,nothingintheseAPITermswillrestrict,excludeormodifyanystatutorywarranties,guarantees,rightsorremediesyouhave,andourliabilityislimited(atouroption)tothereplacementorrepairoftheAPIs.YourIndemnificationofUsYouwilldefendusandthemembersoftheSlackExtendedFamily(collectively,the"SlackIndemnifiedParties")fromandagainstanyandallthirdpartyclaims,actions,suits,proceedings,anddemandsarisingfromorrelatedtoyourviolationoftheContractoryourviolationofyouruseragreementorprivacypolicy(a"ClaimAgainstUs"),andwillindemnifytheSlackIndemnifiedPartiesforallreasonableattorney’sfeesincurredanddamagesandothercostsfinallyawardedagainstaSlackIndemnifiedPartyinconnectionwithorasaresultof,andforamountspaidbyaSlackIndemnifiedPartyunderasettlementyouapproveofinconnectionwith,aClaimAgainstUs.WemustprovideyouwithpromptwrittennoticeofanyClaimAgainstUsandallowyoutherighttoassumetheexclusivedefenseandcontrol,andcooperatewithanyreasonablerequestsassistingyourdefenseandsettlementofsuchmatter.Thissectionstatesyoursoleliabilitywithrespectto,andtheSlackIndemnifiedParties’exclusiveremedyagainstyoufor,anyClaimAgainstUs.LimitationsonIndemnificationsNotwithstandinganythingcontainedintheprecedingsection,(a)wewillalwaysbefreetochooseourowncounselifwepayforthecostofsuchcounsel;and(b)nosettlementmaybeenteredintobyyou,withoutourexpresswrittenconsent(suchconsentnottobeunreasonablywithheld),if:(i)thethirdpartyassertingtheclaimisagovernmentagency,(ii)thesettlementarguablyinvolvesthemakingofadmissions,(iii)thesettlementdoesnotincludeafullreleaseofliability,or(iv)thesettlementincludestermsotherthanafullreleaseofliabilityandthepaymentofmoney.SurvivalThesectionstitled"OurRightstoSuspendAccessandAudit,""Ownership&ProprietaryRights,""Termination,""Representations;DisclaimerofWarranties,""LimitationofLiability,""YourIndemnificationofUs,""LimitationsonIndemnifications,"and"Survival,"aswellasalloftheprovisionsunderthegeneralheading"GeneralProvisions,"willsurviveanyterminationorexpirationoftheContract.GeneralProvisionsPublicityYougrantustherighttouseyourcompanynameandlogoasareferenceformarketingorpromotionalpurposesonourwebsiteandinotherpublicorprivatecommunicationswithourexistingorpotentialdevelopersandcustomers,subjecttoyourstandardtrademarkusageguidelinesasprovidedtousfromtime-to-time.ForceMajeureNeitherwenoryouwillbeliablebyreasonofanyfailureordelayintheperformanceofitsobligationsonaccountofeventsbeyondthereasonablecontrolofaparty,whichmayincludedenial-of-serviceattacks,afailurebyathirdpartyhostingproviderorutilityprovider,strikes,shortages,riots,fires,actsofGod,war,terrorism,andgovernmentalaction.RelationshipoftheParties;NoThirdPartyBeneficiariesThepartiesareindependentcontractors.TheContractdoesnotcreateapartnership,franchise,jointventure,agency,fiduciaryoremploymentrelationshipbetweentheparties.TherearenothirdpartybeneficiariestotheContract.EmailandSlackMessagesExceptasotherwisesetforthherein,allnoticesundertheContractwillbebyemail,althoughifyouhaveaServicesaccount,wemayinsteadchoosetoprovidenoticetoyouthroughtheServices(e.g.,aslackbotnotification)[email protected],exceptforlegalnotices,suchasnoticesoftermination,whichmustbesenttolegal@slack.com.Noticeswillbedeemedtohavebeendulygiven(a)thedayaftertheyaresent,inthecaseofnoticesthroughemail;and(b)thesameday,inthecaseofnoticesthroughtheServices.ExportControls&SanctionsApplicationsmadeavailableontheSlackplatformmaybesubjecttoUnitedStates’andotherjurisdictions’exportcontrolandsanctionslawsandregulations.YouagreetocomplystrictlywithallsuchexportcontrolandsanctionslawsandregulationsthatapplytoyourdistributionoruseoftheSlackAPIandApplicationssubjecttorequirementsintheSlackApplicationDeveloperPolicy.ModificationstoourAPIsandDocumentationSlackisstillevolving,andsoweneedtheflexibilitytooccasionallymakechangestoourAPIs,includingbackwardsincompatiblechanges.Wewilltrytogivenoticeofthesechanges,butyoushouldconsiderfollowingthe@slackapiTwitteraccountorviewingourchangelogsforupdates.Also,partsofourAPIareundocumented,includingcertainmethods,events,andproperties.GiventhattheseundocumentedaspectsofourAPIsmaychangeatanytime,youshouldnotrelyontheirbehaviors.ModificationstotheContractAsourbusinessevolves,wemaychangetheseAPITermsandtheothercomponentsoftheContract.IfwemakeamaterialchangetotheContract,wewillprovideyouwithreasonablenoticepriortothechangetakingeffect,eitherbyemailingtheemailaddressassociatedwithyouraccountorbymessagingyouthroughtheServices.YoucanreviewthemostcurrentversionoftheAPITermsatanytimebyvisitingthispageandbyvisitingthemostcurrentversionsoftheotherpagesthatarereferencedintheContract.ThemateriallyrevisedContractwillbecomeeffectiveonthedatesetforthinournotice,andallotherchangeswillbecomeeffectiveuponpostingofthechange.IfyouaccessourAPIsaftertheeffectivedate,thataccesswillconstituteyouracceptanceofanyrevisedtermsandconditions.WaiverNofailureordelaybyeitherpartyinexercisinganyrightundertheContractwillconstituteawaiverofthatright.NowaiverundertheContractwillbeeffectiveunlessmadeinwritingandsignedbyanauthorizedrepresentativeofthepartybeingdeemedtohavegrantedthewaiver.SeverabilityTheContractwillbeenforcedtothefullestextentpermittedunderapplicablelaw.IfanyprovisionoftheContractisheldbyacourtofcompetentjurisdictiontobecontrarytolaw,theprovisionwillbemodifiedbythecourtandinterpretedsoasbesttoaccomplishtheobjectivesoftheoriginalprovisiontothefullestextentpermittedbylaw,andtheremainingprovisionsoftheContractwillremainineffect.AssignmentNeitherpartymayassignordelegateanyofitsrightsorobligationshereunder,whetherbyoperationoflaworotherwise,withoutthepriorwrittenconsentoftheotherparty(nottobeunreasonablywithheld).Notwithstandingtheforegoing,eitherpartymayassigntheContractinitsentirety,withoutconsentoftheotherparty,toacorporateaffiliateorinconnectionwithamerger,acquisition,corporatereorganization,orsaleofallorsubstantiallyallofitsassets.Anypurportedassignmentinviolationofthissectionisvoid.Aparty’ssoleremedyforanypurportedassignmentbytheotherpartyinbreachofthissectionwillbe,atthenon-assigningparty’selection,terminationoftheContractuponwrittennoticetotheassigningparty.Subjecttotheforegoing,theContractwillbindandinuretothebenefitoftheparties,theirrespectivesuccessorsandpermittedassigns.WhichSlackEntityareYouContractingWith?Allreferencesto‘Slack,’‘we,’or‘us’undertheContract,whatlawwillapplyinanydisputeorlawsuitarisingoutoforinconnectionwiththeContract,andwhichcourtshavejurisdictionoveranysuchdisputeorlawsuit,dependonwhereyouaredomiciled.DomicileSlackContractingEntityGoverningLawVenueUnitedStatesandCanadaSlackTechnologies,LLCCaliforniaSanFranciscoCounty,CaliforniaRestofWorldSlackTechnologiesLimitedIrelandDublin,IrelandTheContract,andanydisputesarisingoutoforrelatedhereto,willbegovernedexclusivelybytheapplicablegoverninglawabove,withoutregardtoconflictsoflawsrulesortheUnitedNationsConventionontheInternationalSaleofGoods.ThecourtslocatedintheapplicablevenueabovewillhaveexclusivejurisdictiontoadjudicateanydisputearisingoutoforrelatingtotheContractoritsformation,interpretationorenforcement.Eachpartyherebyconsentsandsubmitstotheexclusivejurisdictionofsuchcourts.EachpartyalsoherebywaivesanyrighttojurytrialinconnectionwithanyactionorlitigationinanywayarisingoutoforrelatedtotheContract.InanyactionorproceedingtoenforcerightsundertheContract,theprevailingpartywillbeentitledtorecoveritsreasonablecostsandattorney’sfees.EntireAgreementTheContract,includingtheseAPITermsconstitutestheentireagreementbetweenthepartiesandsupersedesallpriorandcontemporaneousagreements,proposalsorrepresentations,writtenororal,concerningitssubjectmatter.TotheextentofanyconflictorinconsistencybetweentheprovisionsintheseAPITermsandanyotherdocumentsorpagesreferencedintheseAPITerms,thefollowingorderofprecedencewillapply:(A)theAPITerms,(B)SlackApplicationDeveloperPolicy,and(C)anyotherdocumentsorpagesreferencedintheContract.TrySlackwithyourteamforfreeGetstarted
