  银行履约保函分为两种形式： 1、无条件（Unconditional或onDemand）银行保函；银行见票即付，不需业主提供任何证据。

业主在任何时候提出声明，认为承包商违约，而且提出的索赔日期和金额在保函有效期的限额之内，银行即无条件履行保证，进行支付，承包商不能要求银行止付。

当然业主也要承担由此行动引起的争端、仲裁或法律程序裁决的法律后果。

对银行而言，他们愿意承担这种保函，既不承担风险，又不卷入合同双方的争端。

  2、有条件（Conditional）银行保函。

银行在支付之前，业主必须提出理由，指出承包商执行合同失败、不能履行其业务或违约，并由业主或监理工程师出示证据，提供所受损失的计算数据等。

一般来讲，银行不愿意承担这种保函，业主也不喜欢这种保函。

  银行保函也是金融翻译领域非常常见的专业翻译文件，涉及金融、法律、工程等领域的知识技能，也非常考验译者的综合能力。

    THISGUARANTEEWITNESSETHASFOLLOWS:  本保函见证如下：    1.  TheBankherebyunconditionallyandirrevocablyandwithoutanyqualificationwhatsoeverundertakes,agrees,covenantsasprimaryobligatorandnotassuretymerely,tomakepaymenttotheBUYERonitsfirstwrittendemandwithoutanyclaim,objection,set-off,protestordemurwhatsoeverandwithoutanyrecoursetotheSELLERnotwithstandinganyintimationordirectiontothecontraryoranyobjection,suchsumorsumsofmoneyamountingtoUS$ _________(USDollar _________Only)forfirmshipmentsatanytimeupto______________(hereinafterreferredtoasthe“Term”).    银行在此无条件的、不可撤销的并且没有任何限制条件的保证、同意并且立约作为截止于______________（以下称为“保函期限”）的确定批次货物的金额达US$ _________（_________美元整）的上述款项或货币的首要义务人，但不是主要的担保人，在收到第一次的书面要求时就付款给买方，不加以任何要求、反对、抵消、抗议或异议，亦不向卖方进行追索，即使通知或说明任何的相反意见或异议。

    ThisGuaranteeshallnotbeaffectedbyanychangeintheconstitutionoforbyanyreasonofwindingupoftheSELLERoranymerger,amalgamationorabsorptionoftheSELLERwithanyothercompanyorcompaniesnorshallthisGuaranteebeprejudicedbyanymerger,amalgamationorabsorptionofBUYEROrderforsupplyofimportedcoalof50,000metricton±10%MTonFOBMotherVesselbasiswithanycompanyorcompaniesbutshallbeavailableforandbythecompanyformedasaresultofmerger,amalgamationandabsorption.    本保函既不因宪法的变更或任何阻碍卖方或并购企业或卖方与其它公司合并等情况而受到影响，也不得由并购企业或买方按母船离岸价（FOB）与其它公司订购数量为50000公吨±10%进口煤等原因而发生变化，仅限已经并购与合并的公司。

    2.  TheneglectorforbearanceoftheBUYERinenforcinganypaymentofthemoneyintendedtobesecuredhereof,orthegivingoftimebytheBUYERtotheSELLERforthepaymentundertheContract,shallinnowayabsolvetheBankfromitsliabilityhereunder.    如买方疏怠其付款责任、或延迟向卖方支付本合同项下货款，则银行不得免予承担责任。

    3.  ThedemandshallconsistonlyofanoriginalletterissuedbyBUYERstatingthattheSELLERhasfailedtofulfillitsobligationsundertheContract.SuchdemandmadebytheBUYERontheBankshallbeconclusiveandbinding,notwithstandinganydifferenceordisputebetweentheBUYERandtheSELLERoranydifferenceordisputependingbeforeanyCourt,Tribunal,Arbitratororanyotherauthority.SuchdemandmaybemadetotheBankoritsbranchin__________Seoul,KoreawhereupontheBankshallimmediatelymakesuchpaymentthroughthebranchin________ _________.TheBankshallhavemadeallnecessaryarrangementsforsuchpaymentstobemadethroughitsbranch/bankcorrespondentin_________ _________.    买方提出付款要求时出示原件，并说明卖方未履行本合同项下义务。

买方向银行提出的付款要求为最终要求且具有约束力，无论买卖双方之间是否存在分歧或在任何法院、法庭、仲裁机构或其它机构存在分歧或未解决的争端。

这一付款要求向银行或其___________________分行提出，届时，银行立即通过___________________分行支付费用。

为了支付款项，银行通过其___________________分行/往来银行做了必要的准备工作。

  4.  TheBankundertakesnottorevokethisGuaranteeduringtheTerm,withoutthepreviouswrittenconsentoftheBUYERandfurtheragreesthatthisGuaranteehereincontainedshallcontinuetobeenforceableduringtheperiodthatwouldbetakenbytheSELLERforsatisfactoryperformanceandfulfillmentofitsobligationsinallrespectsundertheContract.Forthispurpose,theBankshall,extendthetermofthisGuaranteeforfurtherperiod(s)ofsixmonthsatatime(“ExtendedTerm(s)”)uponreceiptofwrittenrequest(s)fromtheSELLERonwhosebehalfthisGuaranteeisissued.TheBankcovenantsanddeclaresthatiftheSELLERdoesnotrenewthisGuarantee,atanytimeforfurtherperiod(s)ofsixmonthsatatime(“ExtendedTerm(s)”),notlessthanthirty(30)dayspriortotheexpiryoftheTermortheExtendedTerm(s)asthecasemaybe,soastokeepthesamevalidtillthedischargebytheSELLERofallitsobligationsundertheContract,thentheentireamountunderthisGuaranteeshallbecomeforthwithdueandpayableupontheexpiryoftheTermortheExtendedTermasthecasemaybeandtheBankshallonitsown,withoutanydemandfromtheBUYER,duringtheClaimPeriod,withoutdemurpaythefullamountofthisGuaranteetotheBUYER.    如未获得买方事先书面批准，银行在保函有效期内不得撤回担保，并进一步同意保函在此期间继续有效，以保证卖方完全履行本合同项下义务。

鉴于此，银行收到委托开立保函的卖方书面提出要求时将此保函期限延长六个月（延期）。

银行立约并声明：如卖方未在有效期内或延期期限截止30（三十）天内提出本保函一次性延长六个月期限，则有效期保留至卖方履行完毕本合同项下义务为止，这种情况下，本保函有效期截止或延期时限截止时本保函项下总费用由银行支付，无需由买方提出付款要求。

在提出索赔要求期间，银行向买方支付本保函全额费用，不得提出抗辨。

    5.  NothingcontainedintheContractnoranychange,amendmentinthetermsandconditionscontainedthereinnortheterminationthereofshallreleasetheBankofitsobligationsunderthesepresents.    本合同未尽事宜、合同条款条件发生变更与修改、或合同终止时，银行均免责。

    6.  TheBankagreesthattheBUYER,atitsoption,shallbeentitledtoenforcethisGuaranteeagainsttheBankasaprincipaldebtor,inthefirstinstancewithoutproceedingagainsttheSELLERandnotwithstandinganysecurityorotherguaranteethattheBUYERmayhaveinrelationtotheSELLER'sliabilitiesundertheContract.    银行同意买方可自行决定其是否实施本保函，以银行作为其主债务人，无论买方是否与卖方本合同项下责任之间存在抵押或担保，第一原则是不向卖方提起诉讼。

    NotwithstandinganythingtothecontrarycontainedinthisGuarantee,theBankherebyirrevocablyandunconditionallywaivesanyandallrightsitmaynoworhereafterhaveunderanyagreementoratlaworinequity,toassertanyclaimagainstorseeksubrogation,contribution,indemnificationoranyotherformofreimbursementfromtheBUYERforanypaymentmadebytheBankunderorinconnectionwiththisGuarantee.   即便有异议或反对，本保函下的银行不可撤销无条件的免除现在或今后持有的任何一种权利不论是源于衡平法、普通法或合同，本保函下或相关银行不应具有代位权、补偿权、免除权或其他任何形式的买方求偿权或让买方付款的权利。

    7.  Notwithstandinganythingstatedtothecontrary,theliabilityoftheBank,ashereincontained,shallbeirrevocableduringtheTermorExtendedTerms,ifany.   即便有异议或反对，本协议所包含的银行职责，在有效期或延长期限内（若有的话）为不可撤销的。

  8.  UnlessademandtoenforceaclaimunderthisGuaranteeismadeagainsttheBankwithinthree(3)monthsfromtheexpiryoftheTermortheExtendedTerms,ifany,(“ClaimPeriod”)alltherightsoftheBUYERunderthisGuaranteeshallbeforfeitedandtheBankshallbereleasedanddischargedfromallliabilitiesthereafter.   除非在本保函有效期或延长期限（若有的话）到期三（3）个月内（索赔期）向银行提出索赔，否则解除本保函下买方的所有权利并豁免银行的所有责任。

    9.  ThisGuaranteeshallbegovernedbyandconstruedinaccordancewiththelawsof _________(withoutregardtoitsprinciplesofconflictoflaws).Thecourtsin _________aloneshallhaveexclusivejurisdictioninrelationhereto.   本保函应接受_________法律的管辖并按之解释（排除其法律冲突的原则）。

_________法院对其有独立审判权。

    10.TheBankherebydeclaresthatithaspowertoissuethisGuaranteeandtheundersignedhavethefullpowertoapproveexecutiondeliveryandtheperformanceoftheGuarantee.   银行在此声明其有权开立保函且签署方有权许可货物交付和履约保函的执行。

    11.ThisPERFORMANCEBONDisTransferable,andtheTransferBankshallbeTheIssuingBank.本   保函为可转让的，转让行须为开证行。
