asdirectorindirectownershipinterestofatleastfivepercent(5%)oftheprofits,equity,capitalorvalueoftheCompany.Bonafideemployeemeansaperson,employedbyabidderandsubjecttothebidder'ssupervisionandcontrolastotime,place,andmannerofperformance,whoneitherexerts,norproposestoexertimproperinfluencetosolicitorobtaincontractsnorholdsoutasbeingabletoobtainanycontract(s)throughimproperinfluence.RegularPart-TimeEmployeemeansanemployeewhoisappointedtoaregularlyscheduledpositionbutworkslessthanfull-time.Aregularpart-timeemployeeisentitledtoallbenefitsoutlinedintheagreementonaproratabasis,exceptwhereotherwisespecified.Schoolemployeemeans(1)ateacher,substituteteacher,schooladministrator,schoolsuperintendent,guidancecounselor,psychologist,socialworker,nurse,physician,schoolparaprofessionalorcoachemployedbyalocalorregionalboardofeducationorworkinginapublicelementary,middleorhighschool;or(2)anyotherindividualwho,intheperformanceofhisorherduties,hasregularcontactwithstudentsandwhoprovidesservicestooronbehalfofstudentsenrolledinapublicelementary,middleorhighschool,pursuanttoacontractwiththelocalorregionalboardofeducation.AuthorizedEmployeemeansanemployeeofProcessorwhohasaneedtoknoworotherwiseaccessPersonalDatatoenableProcessortoperformtheirobligationsunderthisAddendumortheAgreement.authorisedemployeemeansamunicipalemployeewhoisauthorisedintermsofdelegatedorsub-delegatedauthoritybytheMunicipalitytoexerciseapowerorperformadutyintermsofthisBy-lawortoinspectlandandbuildingsinordertoenforcecompliancewiththisBy-laworthezoningscheme;Supervisoryemployeemeansanyindividual,regardlessofthejobdescriptionortitle,havingauthority,intheinterestoftheemployer,tohire,transfer,suspend,layoff,recall,promote,discharge,assign,reward,ordisciplineotheremployees,orresponsibilitytodirectthem,ortoadjusttheirgrievances,oreffectivelytorecommendsuchaction,if,inconnectionwiththeforegoing,theexerciseofsuchauthorityisnotofamerelyroutineorclericalnature,butrequirestheuseofindependentjudgment.Employeeswhosedutiesaresubstantiallysimilartothoseoftheirsubordinatesshallnotbeconsideredtobesupervisoryemployees.
