Theterm“Services”includes,withoutlimitation,useofthewebsite(includinginconnectionwithSpotCam’shardwareproducts)andanyserviceSpotCamperformsforyouandthecontentofferedbySpotCamontheWebsite.Wemaychange,suspendorstoptheservicesatanytime,includingtheavailabilityofanyfeature,database,orcontentwithoutpriornotice.Servicesandtheproductareonlyforyourownpersonal,non-commercialuse,andnotfortheuseorbenefitofanythirdparty.Youmayonlyusetheproductinconnectionwiththeservices,andfornootheruse.Anysoftwarecomponentincludedintheproductislicensedtoyou,andnotsold.YouruseoftheservicesfollowingsuchnotificationconstitutesyouracceptanceofthetermsandconditionsofthisAgreementasmodified. InconsiderationofyouruseofSpotCamservices,yourepresentthatyouareoflegalagetoformabindingcontractandarenotapersonbarredfromreceivingourservicesunderthelawsofapplicablejurisdiction.Youalsoagreeto:(a)youareoflegalagetoformabindingcontract;(b)allregistrationinformationyousubmitisaccurateandtruthful;and(c)youwillmaintaintheaccuracyofsuchinformation.Ifyouprovideanyinformationthatisuntrue,inaccurate,notcurrentorincomplete,SpotCamhastherighttosuspendorterminateyouraccountandrefuseanyandallcurrentorfutureuseoftheSpotCamservices(oranyportionthereof).SpotCamisconcernedaboutthesafetyandprivacyofallitsusers,forthisreason,youalsocertifythatyouarelegallypermittedtouseandaccesstheservicesandtakefullresponsibilityfortheselectionanduseofandaccesstotheservices.Thisagreementisvoidwhereprohibitedbylaw,andtherighttoaccesstheservicesisrevokedinsuchjurisdictions. ByusingSpotCamservices,youandotherusersmayprovideinformationwhichmaybeusedbySpotCamtoconnectwiththeservicesandwhichmaybevisibletocertainotherusers.SpotCamherebyisgrantedanonexclusive,worldwide,royaltyfree,perpetual,irrevocable,sublicenseableandtransferablerighttoexploitsuchUserSubmissionsaresolelyinconnectionwithprovidingyoutheserviceswhichhasbeendirectedbyyou.SpotCamwillonlyshareyourpersonallyidentifiableinformationinaccordancewithourprivacypolicyineffectfromtimetotime.Youalsoherebydoandshallgranteachuseroftheservicesanon-exclusivelicensetoaccessanduseyourusersubmissionsthroughtheservices.Usersubmissionsareonlyaspermittedthroughthefunctionalityoftheservicesandunderthisagreement.Furthermore,youunderstandthatSpotCamretainstherighttoreformat,modify,createderivationalworksandtranslateanyusersubmissionssubmittedbyyou.Forclarity,theforegoinglicensegranttoSpotCamdoesnotaffectyourownershipoforrighttograntadditionallicensestothematerialinyourusersubmissions,unlessotherwiseagreedinwriting. YouunderstandthatallinformationpubliclypostedorprivatelytransmittedthroughtheservicesisthesoleresponsibilityofthepersonfromwhichsuchcontentoriginatedandthatSpotCamwillnotbeliableforanyerrorsoromissionsinanycontent.Usersunderstandthatwecannotguaranteetheidentityofanyotheruserswithwhomyoumayinteractinthecourseofusingtheservices.Additionally,companycannotguaranteetheauthenticityofanydatawhichusersormerchantsmayprovideaboutthemselves.Youacknowledgethatallcontentaccessedbyyouusingtheservicesisatyourownriskandyouwillbesolelyresponsibleforanydamageorlosstoanypartyresultingtherefrom.Intheunexpectedeventofaccident,SpotCamshallnotbeheldaccountableforlossofanydataorvideoonourwebsiteinallconditions. Registrationandsecurity: Registrationofusernameandselectapasswordtoaccessourserviceisrequired.Usersarerequiredtoprovideaccurate,completeandupdatedregistrationinformation.Failuretodosomayresultinimmediateterminationofyouraccount.Youareresponsibleformaintainingtheconfidentialityofthepasswordandaccountandarefullyresponsibleforallactivitiesthatoccurunderyourpasswordoraccount.Youagreeto(a)immediatelynotifySpotCamofanyunauthorizeduseofyourpasswordoraccountoranyotherbreachofsecurity,and(b)ensurethatyouexitfromyouraccountattheendofeachsession.SpotCamcannotandwillnotbeliableforanylossordamagearisingfromyourfailuretocomplywiththissection. Restriction: Youwarrant,representandagreethatyouwillnotcontributeanycontentorusersubmissionsorotherwiseusetheServicesinamannerthatviolatesanylaw,intellectualright,regulationorcontainsanyharmfulprogram.SpotCamreservestherighttoremoveanycontentfromtheservicesatanytime,foranyreasonorfornoreasonatall.You,notSpotCam,remainsolelyresponsibleforallcontentthatyouupload,post,email,orinconnectionwith,theServices,andyouwarrantthatyoupossessallrightsnecessarytoprovidesuchcontenttoSpotCamandtograntSpotCamtherightstousesuchinformationinconnectionwiththeservicesandasotherwiseprovidedherein. Warranty: SpotCamwarrantsthatproductpurchasedfromSpotCamwillbefreefromdefectsinmaterialsandworkmanshipforoneyearfromyourpurchasingdateandonlyvalidforyou.ThiswarrantydoesnotcoverdamageoutsideSpotCam’scontrol,includingdamagecausedbymisuse,accident,abuse,useotherthanasintendedanddescribedintheproductdocumentationSpotCamprovided. Indemnity: YouwillindemnifyandholdSpotCam,itsparents,subsidiaries,affiliates,officers,andemployeesharmlessfromanyclaimordemandmadebyanythirdpartyduetoorarisingoutofyouraccesstotheservices,useoftheservices,yourviolationofthisagreement,ortheinfringementbyyouoranythirdpartyusingyouraccountofanyintellectualpropertyorotherrightofanypersonorentity. FeesandPayments: Certainservicesmaybeprovidedforafee.Allapplicablefeesrequiredtopayisdescribedonthewebsiteinconnectionwithsuchservicesselectedbyyou.SpotCamreservestherighttoadjustthenewchargesatanytime,uponnoticetoyou,whichmaybesentbyemailorpostedonthewebsite.Youruseoftheservicesfollowingsuchnotificationconstitutesyouracceptanceofanyneworincreasedcharges.Anyfeespaidforservicesarenon-refundable. Termination: UsersmayterminateyourSpotCamaccount,anyassociatedemailaddressandaccesstoSpotCamservicesbysubmittingsuchterminationrequesttous.YouagreethatSpotCammay,withoutpriornotice,immediatelyterminate,limityouraccesstoorsuspendyouraccount,anyassociatedemailaddress,andaccesstotheSpotCamServices.Causeforsuchtermination,limitationofaccessorsuspensionshallinclude,butnotbelimitedto,(a)breachesorviolationsoftheservicesorotherincorporatedagreementsorguidelines,(b)requestsbylawenforcementorothergovernmentagencies,(c)unexpectedtechnicalorsecurityissuesorproblems,(d)engagementbyyouinfraudulentorillegalactivities,and(e)nonpaymentofanyfeesowedbyyouinconnectionwiththeSpotCamServices.Further,youagreethatallterminations,limitationsofaccessandsuspensionsforcauseshallbemadeinSpotCam’ssolediscretionandthatweshallnotbeliabletoyouoranythirdpartyforanyterminationofyouraccount,anyassociatedemailaddress,oraccesstoSpotCamServices. GeneralInformation: ThefailureofSpotCamtoexerciseorenforceanyrightorprovisionofthetermsofservicesshallnotconstituteawaiverofsuchrightorprovision.SpotCamshallnotbeliableforanyfailuretoperformitsobligationsfromanycausebeyondSpotCam’sreasonablecontrol.Thisagreementisnotassignable,ortransferablebyyouexceptwiththepriorwrittenconsentofSpotCam.However,SpotCammaytransfer,assignordelegatethisagreementanditsrightsandobligationswithoutconsent.Bothpartiesagreethatthisagreementisthecompleteandexclusivestatementofthemutualunderstandingofthepartiesandsupersedesandcancelsallpreviouswrittenandoralagreements,communicationsandotherunderstandingsrelatingtothesubjectmatterofthisagreement,andthatallmodificationsmustbeinawritingsignedbybothparties,exceptasotherwiseprovidedherein.It’sSpotCam’spolicytoblockaccesstoorremovematerialthathasillegallycopiedanddistributedbyanyofouradvertisers,affiliates,contentproviders,membersorusers;andwe’llalsoremoveanddiscontinueservicetorepeatoffenders. Ifthecontentproviderbelievesthatthematerialremovedisnotinfringing,ortheproviderbelievesthathehastherighttopostandusesuchmaterialfromthecopyrightowner,thecontentprovidermustprovideanoticefromcopyrightownercontainingfollowinginformation:(i)Aphysicalorelectronicsignatureofthecontentprovider,memberoruser;(ii)Identificationofthematerialthathasbeenremovedortowhichaccesshasbeendisabledandthelocationatwhichthematerialappearedbeforeitwasremovedordisabled;(iii)Astatementthatthecontentproviderbelievesthatremovedmaterialwasasaresultofmistakeormisidentification.(iv)contentprovider’spersonalinformationsuchasname,address,contactnumber,email,and(v)astatementthatsuchpersonorentityconsentstothejurisdictionforthejudicialdistrictwhereSpotCamislocated,andthatsuchpersonorentitywillacceptserviceofprocessfromthepersonwhoprovidednotificationoftheallegedinfringement. AppleDeviceAndApplicationTerms: IntheusewithdeviceprovidedbyApple,Inc.(“Apple”)oracompanyapplicationobtainedthroughtheAppleAppStoreshallapplytermsbelow:bothuserandSpotCamacknowledgethatthisagreementisconcludedbetweenbothpartiesonly,andnotwithApple,Appleisnotresponsiblefortheapplicationorcontent;TheApplicationwhichislicensedtoyouisonalimited,non-exclusive,non-transferrablebasis,onlyforyourprivate,personal,non-commercialuse,subjecttoallthetermsandconditionsofthisagreementastheyareapplicabletotheservice;YouacknowledgeandagreethatApplehasnoobligationwhatsoevertofurnishanymaintenanceandsupportserviceswithrespecttotheapplication.IntheeventofanyfailureoftheApplicationtoconformtoanyapplicablewarranty,includingthoseimpliedbylaw,youmaynotifyAppleofsuchfailureuponnotification. UseracknowledgeandagreethatSpotCam,andnotApple,isresponsibleforaddressinganyclaimsyouoranythirdpartymayhaveinrelationtotheapplication;Youacknowledgeandagreethat,intheeventofanythirdpartyclaimthattheapplicationoryourpossessionanduseinfringesthatthirdparty’sintellectualpropertyrights,SpotCam,andnotApple,havetherighttoberesponsiblefortheinvestigation,defense,settlementanddischargeofanysuchinfringementclaim;BothusersandSpotCamacknowledgeandagreethatAppleandApple’ssubsidiariesarethirdpartybeneficiariesofthisagreement,anduponyouracceptanceofthisagreement,Applewillhavetherighttoenforcethisagreementagainstyouasthethirdpartybeneficiaryhereof.
