Keys.YoumaynotuseasingleAPIkeyformultipleusecasesorapplications,andyoumaynotusemultipleapplicationAPIkeysforthesameusecaseorapplication. Monitoring.YoumaynotuseoraccesstheBVAPIforpurposesormonitoringtheavailability,performanceorfunctionalityofanyofBazaarvoice’sproductsorservicesorforanyotherbenchmarkingorcompetitivepurposes. ThirdPartyAccess.YoumayprovideaccesstotheAPItothirdpartydevelopers(e.g.agenciesorapprovedpartners).YouareresponsibleforensuringthatanythirdpartytowhomyouprovideaccessabidesbytheTerms.Further,BazaarvoicereservestherighttorejectthirdpartyaccesstotheAPIprovidedsuchaccessisinconsistentwiththeusecontemplatedunderanyMSAorSOwithBazaarvoice.Generally,providingAPIkeystoanunaffiliatedthirdpartyforthepurposeofbypassingtheBazaarvoicePartnerProgramoranon-existentBazaarvoicesyndicationrelationshipwiththatthirdpartyisprohibited.Generally,providinganAPIkeytoathirdpartytodrivenativecontentforyourownsiteisallowed.BazaarvoicewillhaveexclusivediscretiontodeterminewhetheraparticularuseofanAPIkeybyathirdpartyisacceptable.YouareresponsibleforensuringthatanythirdpartytowhomyouprovideaccessabidesbytheTerms.Further,BazaarvoicereservestherighttorejectthirdpartyaccesstotheAPI. ChargingforAccess.YoumaynotchargeapremiumforaccesstotheBVAPIoranycontentotherthanyourservice’sstandarddataandusagerates. Authenticity.YoumaynotusetheBVAPItocreatecontentthatisinviolationoftheBazaarvoiceAuthenticityPolicy,acopyofwhichwillbeprovidedtoyouatyourrequest. Laws;Regulations;PrivacyPolicy.UsetheBVAPIinanymannerorforanypurposethatviolatesanylaw,regulation,codeoranyrightsofanypersonorentity,includingbutnotlimitedtointellectualprivacyrights,rightsofprivacy,orrightsofpersonality.Further,youmustmaintainaprivacypolicythataccuratelyreflectsyouruseofthecontentaccessedthroughtheBVAPI. ClientResponseAPI.APIkeysfortheClientResponseAPImayonlybeusedbyemployeesofthecompanytowhichtheyareassigned. 3.Ownership Bazaarvoiceownsallright,titleandinterestinandtotheBVAPIandBVData.ForthepurposeoftheseTermsofUse“BVData”meansanyandalldataandotherintellectualpropertyinwhichBazaarvoicemayclaimproprietaryrightswithoutconflicttoanypre-existingcontractualagreement.Thesetermsgrantyounoright,titleorinterestinanyintellectualpropertyownedorlicensedbyBazaarvoice,includingwithoutlimitationtheBVAPIandanyBVData. 4.Support BazaarvoicemayelecttoprovideyouwithsupportormodificationsfortheBVAPI(collectively,“Support”),initssolediscretion,andmayterminatesuchSupportatanytimewithoutnoticetoyou.Bazaarvoicemaychange,suspend,ordiscontinueanyaspectoftheBVAPIatanytime,includingtheavailabilityofanyBVAPI.BazaarvoicemayalsoimposelimitsoncertainfeaturesandservicesorrestrictyouraccesstopartsoralloftheBVAPIwithoutnoticeorliability. 5.Fees BazaarvoicereservestherighttochargefeesforuseoraccessoftheBVAPIforusesoveracertainrateorforcertaincommercialuses. 6.DisclaimerofWarranty TheBVAPIisprovided“asis”andBazaarvoicedisclaimsallwarranties,conditions,orrepresentations(express,implied,oralorwritten)withrespecttotheBVAPIandanysupportrelatedthereto,includingallwarrantiesofmerchantability,fitnessforaparticularpurpose,non-infringement,non-interference,accuracyofdata,andwarrantiesarisingfromacourseofdealing. 7.LimitationofLiability Thefollowinglimitationsofliabilityapplyirrespectiveofanyfailureofessentialpurposeofanylimitedremedy,andalsoapplyregardlessofthelegalorequitabletheoryonwhichdamagesaresought.However,innoeventwillthelimitationsapplytotheextentprohibitedbyapplicablelaw. Exceptforclaimsarisingoutofgrossnegligenceorwillfulmisconduct,innoeventwillbazaarvoicebeliableforanyspecialdamages,includingbutnotlimitedtocostsofprocurementofsubstitutegoodsorservicesoranyspecial,indirect,incidental,exemplary,orconsequentialdamages,includingbutnotlimitedtolostprofits,lossofgoodwill,businessinterruption,orlossofinformation,ofanyparty,includingthirdparties,regardlessofwhethersuchpartywasadvisedofthepossibilityoftheforegoing.Inanycase,bazaarvoice’saggregateliabilityunderthisagreementwillnotexceedthegreaterofonehundreddollars($100)ortheaggregatefeesyoupaidforaccesstothebvapiinthetwelve(12)monthperiod. 8.ReleaseandWaiver Tothemaximumextentpermittedbyapplicablelaw,youherebyreleaseandwaiveallclaimsagainstBazaarvoice,anditssubsidiaries,affiliates,officers,agents,licensors,co-brandersorotherpartners,andemployeesfromanyandallliabilityforclaims,damages(actualand/orconsequential),costsandexpenses(includinglitigationcostsandattorneys’fees)ofeverykindandnature,arisingfromorinanywayrelatedtoyouruseoftheBVAPI.IfyouareaCaliforniaresident,youwaiveyourrightsunderCaliforniaCivilCode1542,whichstates,“Ageneralreleasedoesnotextendtoclaimswhichthecreditordoesnotknoworsuspecttoexistinhisfavoratthetimeofexecutingtherelease,whichifknownbyhimmusthavemateriallyaffectedhissettlementwiththedebtor.”Youunderstandthatanyfactrelatingtoanymattercoveredbythisreleasemaybefoundtobeotherthannowbelievedtobetrueandyouacceptandassumetheriskofsuchpossibledifferencesinfact.Inaddition,youexpresslywaiveandrelinquishanyandallrightsandbenefitswhichyoumayhaveunderanyotherstateorfederalstatuteorcommonlawprincipleofsimilareffect,tothefullestextentpermittedbylaw. 9.HoldHarmlessandIndemnity Tothemaximumextentpermittedbyapplicablelaw,youagreetoholdharmlessandindemnifyBazaarvoiceanditssubsidiaries,affiliates,officers,agents,licensors,co-brandersorotherpartners,andemployeesfromandagainstanythirdpartyclaimarisingfromorinanywayrelatedtoyouruseofBazaarvoiceAPIs,includinganyliabilityorexpensearisingfromallclaims,losses,damages(actualand/orconsequential),suits,judgments,litigationcostsandattorneys’fees,ofeverykindandnature.Bazaarvoiceshallusegoodfaitheffortstoprovideyouwithwrittennoticeofsuchclaim,suitoraction. 10.Miscellaneous TheTermsaregovernedbythelawsoftheStateofTexas(excludinganyruleorprinciplethatwouldrefertoandapplythesubstantivelawofanotherstateorjurisdiction).Further,theyouandBazaarvoiceagreethatanyclaimorcauseofactionunderorrelatingtotheTermsmustbebroughtinthestateorfederalcourtslocatedinAustin,Texasandyouagreetosubmittotheexclusivepersonaljurisdictionofsuchcourts.TheTermsconstitutetheentireagreementbetweenthepartiesregardingthesubjectmatterstatedherein,andsupersedesallpreviouscommunications,representations,understandings,andagreements,eitheroral,electronic,orwritten.IfanyprovisionoftheTerms,ortheapplicationthereof,isforanyreasonandtoanyextentdeterminedbyacourtofcompetentjurisdictiontobeinvalidorunenforceableunderapplicablelaw,avalidprovisionthatmostcloselymatchestheintentoftheoriginalwillbesubstitutedandtheremainingprovisionsoftheTermswillbeinterpretedsoasbesttoreasonablyaffectitsoriginalintent.
