1.1TheAndroidSoftwareDevelopmentKit(referredtointheLicenseAgreementasthe"SDK"andspecificallyincludingtheAndroidsystemfiles,packagedAPIs,andGoogleAPIsadd-ons)islicensedtoyousubjecttothetermsoftheLicenseAgreement.TheLicenseAgreementformsalegallybindingcontractbetweenyouandGoogleinrelationtoyouruseoftheSDK. 1.2"Android"meanstheAndroidsoftwarestackfordevices,asmadeavailableundertheAndroidOpenSourceProject,whichislocatedatthefollowingURL:https://source.android.com/,asupdatedfromtimetotime. 1.3A"compatibleimplementation"meansanyAndroiddevicethat(i)complieswiththeAndroidCompatibilityDefinitiondocument,whichcanbefoundattheAndroidcompatibilitywebsite(https://source.android.com/compatibility)andwhichmaybeupdatedfromtimetotime;and(ii)successfullypassestheAndroidCompatibilityTestSuite(CTS). 1.4"Google"meansGoogleLLC,organizedunderthelawsoftheStateofDelaware,USA,andoperatingunderthelawsoftheUSAwithprincipalplaceofbusinessat1600AmphitheatreParkway,MountainView,CA94043,USA. 2.AcceptingthisLicenseAgreement 2.1InordertousetheSDK,youmustfirstagreetotheLicenseAgreement.YoumaynotusetheSDKifyoudonotaccepttheLicenseAgreement. 2.2Byclickingtoacceptand/orusingthisSDK,youherebyagreetothetermsoftheLicenseAgreement. 2.3YoumaynotusetheSDKandmaynotaccepttheLicenseAgreementifyouareapersonbarredfromreceivingtheSDKunderthelawsoftheUnitedStatesorothercountries,includingthecountryinwhichyouareresidentorfromwhichyouusetheSDK. 2.4IfyouareagreeingtobeboundbytheLicenseAgreementonbehalfofyouremployerorotherentity,yourepresentandwarrantthatyouhavefulllegalauthoritytobindyouremployerorsuchentitytotheLicenseAgreement.Ifyoudonothavetherequisiteauthority,youmaynotaccepttheLicenseAgreementorusetheSDKonbehalfofyouremployerorotherentity. 3.SDKLicensefromGoogle 3.1SubjecttothetermsoftheLicenseAgreement,Googlegrantsyoualimited,worldwide,royalty-free,non-assignable,non-exclusive,andnon-sublicensablelicensetousetheSDKsolelytodevelopapplicationsforcompatibleimplementationsofAndroid. 3.2YoumaynotusethisSDKtodevelopapplicationsforotherplatforms(includingnon-compatibleimplementationsofAndroid)ortodevelopanotherSDK.Youareofcoursefreetodevelopapplicationsforotherplatforms,includingnon-compatibleimplementationsofAndroid,providedthatthisSDKisnotusedforthatpurpose. 3.3YouagreethatGoogleorthirdpartiesownalllegalright,titleandinterestinandtotheSDK,includinganyIntellectualPropertyRightsthatsubsistintheSDK."IntellectualPropertyRights"meansanyandallrightsunderpatentlaw,copyrightlaw,tradesecretlaw,trademarklaw,andanyandallotherproprietaryrights.Googlereservesallrightsnotexpresslygrantedtoyou. 3.4YoumaynotusetheSDKforanypurposenotexpresslypermittedbytheLicenseAgreement.Excepttotheextentrequiredbyapplicablethirdpartylicenses,youmaynotcopy(exceptforbackuppurposes),modify,adapt,redistribute,decompile,reverseengineer,disassemble,orcreatederivativeworksoftheSDKoranypartoftheSDK. 3.5Use,reproductionanddistributionofcomponentsoftheSDKlicensedunderanopensourcesoftwarelicensearegovernedsolelybythetermsofthatopensourcesoftwarelicenseandnottheLicenseAgreement. 3.6YouagreethattheformandnatureoftheSDKthatGoogleprovidesmaychangewithoutpriornoticetoyouandthatfutureversionsoftheSDKmaybeincompatiblewithapplicationsdevelopedonpreviousversionsoftheSDK.YouagreethatGooglemaystop(permanentlyortemporarily)providingtheSDK(oranyfeatureswithintheSDK)toyouortousersgenerallyatGoogle'ssolediscretion,withoutpriornoticetoyou. 3.7NothingintheLicenseAgreementgivesyouarighttouseanyofGoogle'stradenames,trademarks,servicemarks,logos,domainnames,orotherdistinctivebrandfeatures. 3.8Youagreethatyouwillnotremove,obscure,oralteranyproprietaryrightsnotices(includingcopyrightandtrademarknotices)thatmaybeaffixedtoorcontainedwithintheSDK. 4.UseoftheSDKbyYou 4.1Googleagreesthatitobtainsnoright,titleorinterestfromyou(oryourlicensors)undertheLicenseAgreementinortoanysoftwareapplicationsthatyoudevelopusingtheSDK,includinganyintellectualpropertyrightsthatsubsistinthoseapplications. 4.2YouagreetousetheSDKandwriteapplicationsonlyforpurposesthatarepermittedby(a)theLicenseAgreementand(b)anyapplicablelaw,regulationorgenerallyacceptedpracticesorguidelinesintherelevantjurisdictions(includinganylawsregardingtheexportofdataorsoftwaretoandfromtheUnitedStatesorotherrelevantcountries). 4.3YouagreethatifyouusetheSDKtodevelopapplicationsforgeneralpublicusers,youwillprotecttheprivacyandlegalrightsofthoseusers.Iftheusersprovideyouwithusernames,passwords,orotherlogininformationorpersonalinformation,youmustmaketheusersawarethattheinformationwillbeavailabletoyourapplication,andyoumustprovidelegallyadequateprivacynoticeandprotectionforthoseusers.Ifyourapplicationstorespersonalorsensitiveinformationprovidedbyusers,itmustdososecurely.IftheuserprovidesyourapplicationwithGoogleAccountinformation,yourapplicationmayonlyusethatinformationtoaccesstheuser'sGoogleAccountwhen,andforthelimitedpurposesforwhich,theuserhasgivenyoupermissiontodoso. 4.4YouagreethatyouwillnotengageinanyactivitywiththeSDK,includingthedevelopmentordistributionofanapplication,thatinterfereswith,disrupts,damages,oraccessesinanunauthorizedmannertheservers,networks,orotherpropertiesorservicesofanythirdpartyincluding,butnotlimitedto,Googleoranymobilecommunicationscarrier. 4.5Youagreethatyouaresolelyresponsiblefor(andthatGooglehasnoresponsibilitytoyouortoanythirdpartyfor)anydata,content,orresourcesthatyoucreate,transmitordisplaythroughAndroidand/orapplicationsforAndroid,andfortheconsequencesofyouractions(includinganylossordamagewhichGooglemaysuffer)bydoingso. 4.6Youagreethatyouaresolelyresponsiblefor(andthatGooglehasnoresponsibilitytoyouortoanythirdpartyfor)anybreachofyourobligationsundertheLicenseAgreement,anyapplicablethirdpartycontractorTermsofService,oranyapplicablelaworregulation,andfortheconsequences(includinganylossordamagewhichGoogleoranythirdpartymaysuffer)ofanysuchbreach. 5.YourDeveloperCredentials 5.1YouagreethatyouareresponsibleformaintainingtheconfidentialityofanydevelopercredentialsthatmaybeissuedtoyoubyGoogleorwhichyoumaychooseyourselfandthatyouwillbesolelyresponsibleforallapplicationsthataredevelopedunderyourdevelopercredentials. 6.PrivacyandInformation 6.1InordertocontinuallyinnovateandimprovetheSDK,Googlemaycollectcertainusagestatisticsfromthesoftwareincludingbutnotlimitedtoauniqueidentifier,associatedIPaddress,versionnumberofthesoftware,andinformationonwhichtoolsand/orservicesintheSDKarebeingusedandhowtheyarebeingused.Beforeanyofthisinformationiscollected,theSDKwillnotifyyouandseekyourconsent.Ifyouwithholdconsent,theinformationwillnotbecollected. 6.2ThedatacollectedisexaminedintheaggregatetoimprovetheSDKandismaintainedinaccordancewithGoogle'sPrivacyPolicy,whichislocatedatthefollowingURL:https://policies.google.com/privacy 6.3AnonymizedandaggregatedsetsofthedatamaybesharedwithGooglepartnerstoimprovetheSDK. 7.ThirdPartyApplications 7.1IfyouusetheSDKtorunapplicationsdevelopedbyathirdpartyorthataccessdata,contentorresourcesprovidedbyathirdparty,youagreethatGoogleisnotresponsibleforthoseapplications,data,content,orresources.Youunderstandthatalldata,contentorresourceswhichyoumayaccessthroughsuchthirdpartyapplicationsarethesoleresponsibilityofthepersonfromwhichtheyoriginatedandthatGoogleisnotliableforanylossordamagethatyoumayexperienceasaresultoftheuseoraccessofanyofthosethirdpartyapplications,data,content,orresources. 7.2Youshouldbeawarethedata,content,andresourcespresentedtoyouthroughsuchathirdpartyapplicationmaybeprotectedbyintellectualpropertyrightswhichareownedbytheproviders(orbyotherpersonsorcompaniesontheirbehalf).Youmaynotmodify,rent,lease,loan,sell,distributeorcreatederivativeworksbasedonthesedata,content,orresources(eitherinwholeorinpart)unlessyouhavebeenspecificallygivenpermissiontodosobytherelevantowners. 7.3Youacknowledgethatyouruseofsuchthirdpartyapplications,data,content,orresourcesmaybesubjecttoseparatetermsbetweenyouandtherelevantthirdparty.Inthatcase,theLicenseAgreementdoesnotaffectyourlegalrelationshipwiththesethirdparties. 8.UsingAndroidAPIs 8.1GoogleDataAPIs 8.1.1IfyouuseanyAPItoretrievedatafromGoogle,youacknowledgethatthedatamaybeprotectedbyintellectualpropertyrightswhichareownedbyGoogleorthosepartiesthatprovidethedata(orbyotherpersonsorcompaniesontheirbehalf).YouruseofanysuchAPImaybesubjecttoadditionalTermsofService.Youmaynotmodify,rent,lease,loan,sell,distributeorcreatederivativeworksbasedonthisdata(eitherinwholeorinpart)unlessallowedbytherelevantTermsofService. 8.1.2IfyouuseanyAPItoretrieveauser'sdatafromGoogle,youacknowledgeandagreethatyoushallretrievedataonlywiththeuser'sexplicitconsentandonlywhen,andforthelimitedpurposesforwhich,theuserhasgivenyoupermissiontodoso.IfyouusetheAndroidRecognitionServiceAPI,documentedatthefollowingURL:https://developer.android.com/reference/android/speech/RecognitionService,asupdatedfromtimetotime,youacknowledgethattheuseoftheAPIissubjecttotheDataProcessingAddendumforProductswhereGoogleisaDataProcessor,whichislocatedatthefollowingURL:https://privacy.google.com/businesses/gdprprocessorterms/,asupdatedfromtimetotime.Byclickingtoaccept,youherebyagreetothetermsoftheDataProcessingAddendumforProductswhereGoogleisaDataProcessor. 9.TerminatingthisLicenseAgreement 9.1TheLicenseAgreementwillcontinuetoapplyuntilterminatedbyeitheryouorGoogleassetoutbelow. 9.2IfyouwanttoterminatetheLicenseAgreement,youmaydosobyceasingyouruseoftheSDKandanyrelevantdevelopercredentials. 9.3Googlemayatanytime,terminatetheLicenseAgreementwithyouif: (A)youhavebreachedanyprovisionoftheLicenseAgreement;or (B)Googleisrequiredtodosobylaw;or (C)thepartnerwithwhomGoogleofferedcertainpartsofSDK(suchasAPIs)toyouhasterminateditsrelationshipwithGoogleorceasedtooffercertainpartsoftheSDKtoyou;or (D)GoogledecidestonolongerprovidetheSDKorcertainpartsoftheSDKtousersinthecountryinwhichyouareresidentorfromwhichyouusetheservice,ortheprovisionoftheSDKorcertainSDKservicestoyoubyGoogleis,inGoogle'ssolediscretion,nolongercommerciallyviable. 9.4WhentheLicenseAgreementcomestoanend,allofthelegalrights,obligationsandliabilitiesthatyouandGooglehavebenefitedfrom,beensubjectto(orwhichhaveaccruedovertimewhilsttheLicenseAgreementhasbeeninforce)orwhichareexpressedtocontinueindefinitely,shallbeunaffectedbythiscessation,andtheprovisionsofparagraph14.7shallcontinuetoapplytosuchrights,obligationsandliabilitiesindefinitely. 10.DISCLAIMEROFWARRANTIES 10.1YOUEXPRESSLYUNDERSTANDANDAGREETHATYOURUSEOFTHESDKISATYOURSOLERISKANDTHATTHESDKISPROVIDED"ASIS"AND"ASAVAILABLE"WITHOUTWARRANTYOFANYKINDFROMGOOGLE. 10.2YOURUSEOFTHESDKANDANYMATERIALDOWNLOADEDOROTHERWISEOBTAINEDTHROUGHTHEUSEOFTHESDKISATYOUROWNDISCRETIONANDRISKANDYOUARESOLELYRESPONSIBLEFORANYDAMAGETOYOURCOMPUTERSYSTEMOROTHERDEVICEORLOSSOFDATATHATRESULTSFROMSUCHUSE. 10.3GOOGLEFURTHEREXPRESSLYDISCLAIMSALLWARRANTIESANDCONDITIONSOFANYKIND,WHETHEREXPRESSORIMPLIED,INCLUDING,BUTNOTLIMITEDTOTHEIMPLIEDWARRANTIESANDCONDITIONSOFMERCHANTABILITY,FITNESSFORAPARTICULARPURPOSEANDNON-INFRINGEMENT. 11.LIMITATIONOFLIABILITY 11.1YOUEXPRESSLYUNDERSTANDANDAGREETHATGOOGLE,ITSSUBSIDIARIESANDAFFILIATES,ANDITSLICENSORSSHALLNOTBELIABLETOYOUUNDERANYTHEORYOFLIABILITYFORANYDIRECT,INDIRECT,INCIDENTAL,SPECIAL,CONSEQUENTIALOREXEMPLARYDAMAGESTHATMAYBEINCURREDBYYOU,INCLUDINGANYLOSSOFDATA,WHETHERORNOTGOOGLEORITSREPRESENTATIVESHAVEBEENADVISEDOFORSHOULDHAVEBEENAWAREOFTHEPOSSIBILITYOFANYSUCHLOSSESARISING. 12.Indemnification 12.1Tothemaximumextentpermittedbylaw,youagreetodefend,indemnifyandholdharmlessGoogle,itsaffiliatesandtheirrespectivedirectors,officers,employeesandagentsfromandagainstanyandallclaims,actions,suitsorproceedings,aswellasanyandalllosses,liabilities,damages,costsandexpenses(includingreasonableattorneysfees)arisingoutoforaccruingfrom(a)youruseoftheSDK,(b)anyapplicationyoudevelopontheSDKthatinfringesanycopyright,trademark,tradesecret,tradedress,patentorotherintellectualpropertyrightofanypersonordefamesanypersonorviolatestheirrightsofpublicityorprivacy,and(c)anynon-compliancebyyouwiththeLicenseAgreement. 13.ChangestotheLicenseAgreement 13.1GooglemaymakechangestotheLicenseAgreementasitdistributesnewversionsoftheSDK.Whenthesechangesaremade,GooglewillmakeanewversionoftheLicenseAgreementavailableonthewebsitewheretheSDKismadeavailable. 14.GeneralLegalTerms 14.1TheLicenseAgreementconstitutesthewholelegalagreementbetweenyouandGoogleandgovernsyouruseoftheSDK(excludinganyserviceswhichGooglemayprovidetoyouunderaseparatewrittenagreement),andcompletelyreplacesanyprioragreementsbetweenyouandGoogleinrelationtotheSDK. 14.2YouagreethatifGoogledoesnotexerciseorenforceanylegalrightorremedywhichiscontainedintheLicenseAgreement(orwhichGooglehasthebenefitofunderanyapplicablelaw),thiswillnotbetakentobeaformalwaiverofGoogle'srightsandthatthoserightsorremedieswillstillbeavailabletoGoogle. 14.3Ifanycourtoflaw,havingthejurisdictiontodecideonthismatter,rulesthatanyprovisionoftheLicenseAgreementisinvalid,thenthatprovisionwillberemovedfromtheLicenseAgreementwithoutaffectingtherestoftheLicenseAgreement.TheremainingprovisionsoftheLicenseAgreementwillcontinuetobevalidandenforceable. 14.4YouacknowledgeandagreethateachmemberofthegroupofcompaniesofwhichGoogleistheparentshallbethirdpartybeneficiariestotheLicenseAgreementandthatsuchothercompaniesshallbeentitledtodirectlyenforce,andrelyupon,anyprovisionoftheLicenseAgreementthatconfersabenefiton(orrightsinfavorof)them.Otherthanthis,nootherpersonorcompanyshallbethirdpartybeneficiariestotheLicenseAgreement. 14.5EXPORTRESTRICTIONS.THESDKISSUBJECTTOUNITEDSTATESEXPORTLAWSANDREGULATIONS.YOUMUSTCOMPLYWITHALLDOMESTICANDINTERNATIONALEXPORTLAWSANDREGULATIONSTHATAPPLYTOTHESDK.THESELAWSINCLUDERESTRICTIONSONDESTINATIONS,ENDUSERSANDENDUSE. 14.6TherightsgrantedintheLicenseAgreementmaynotbeassignedortransferredbyeitheryouorGooglewithoutthepriorwrittenapprovaloftheotherparty.NeitheryounorGoogleshallbepermittedtodelegatetheirresponsibilitiesorobligationsundertheLicenseAgreementwithoutthepriorwrittenapprovaloftheotherparty. 14.7TheLicenseAgreement,andyourrelationshipwithGoogleundertheLicenseAgreement,shallbegovernedbythelawsoftheStateofCaliforniawithoutregardtoitsconflictoflawsprovisions.YouandGoogleagreetosubmittotheexclusivejurisdictionofthecourtslocatedwithinthecountyofSantaClara,CaliforniatoresolveanylegalmatterarisingfromtheLicenseAgreement.Notwithstandingthis,youagreethatGoogleshallstillbeallowedtoapplyforinjunctiveremedies(oranequivalenttypeofurgentlegalrelief)inanyjurisdiction.
