"Updates".meansbugfixes,patches,enhancedfunctions,missingplug-insandnewversionsoftheApplications. "ZeroTouchServices".meanstheZeroTouchportalandtheCustomerAPIthatGoogleprovidestoYoutoenableYoutoenrollAndroiddevicesforenterpriseuseorforsuchotheruseasmaybepre-approvedbyGoogleinwriting. ACCESSTOANDUSAGEOFTHESERVICE Access.YoumayusetheServicetobrowse,locate,ordownloadApplicationsforYourorganization.Youradministrator’suseoftheServicewillbegovernedbytheGoogleTermsofService,includingtheGooglePrivacyPolicy.DevelopersmayplacegeographiclimitationsonwhereApplicationscanbedistributedtoYourEndUsers. EndUserAccess.ByallowingYourEndUserstoaccessandusetheGooglePlayStore,YouagreetotheGooglePlayTermsofServiceontheirbehalf. UnauthorizedUse.YouwillusecommerciallyreasonableeffortstopreventunauthorizeduseoftheServiceandtoterminateanyunauthorizeduse.YouwillpromptlynotifyGoogleofanyunauthorizeduseof,oraccessto,theServiceofwhichYoubecomeaware. TYPESOFAPPLICATIONS PrivateApplications.Youmayuploadorganization-specificApplicationsaspartofusingtheService,whichmayeitherbeself-hostedorinaGoogle-hostedmodeinGooglePlay.IfYouuseGooglePlaytohostYourPrivateApplication,YoumustdosoinaccordancewiththetermsoftheGooglePlayDistributionAgreement.Youhavetheabilityto(i)manageApplicationsand(ii)purchasebulklicensestoassign(orre-assign)toEndUsers.Subjecttocompliancewiththetermsherein,YoumaypushApplicationstoEndUsersprovidedthatsuchApplicationsarenecessaryandrequiredaspartoftheEndUser’semployment. FreeApplications.GooglemayallowYoutodownloadoruseApplicationsfreeofcharge.AnytermsandconditionsthatapplytopurchasedApplicationswillapplytofreeApplications,exceptwithrespecttopayment-relatedmatters(forexample,therefund-relatedprovisionsoftheseTermsdonotapplytosuchfreeApplications).GooglemayimposelimitationsonYouraccessanduseofcertainfreeApplications. BulkPurchasedApplications.WhenGoogleenablesthefeature,YouwillbepermittedtopurchaseApplicationsinbulkusingavalidpaymentmethodviaGooglePayments.YoumaydistributeorrevokeApplicationstoYourEndUsersandre-assigntheApplicationsYoupurchasedinbulk. FreeTrialsofApplications.GoogleordevelopersmayprovideYoualimitedsupplyoffreeApplicationsfortestingandevaluationpurposes.SuchfreeApplicationsmaycomewithadditionaltermsandconditionsthatapplytosuchfreeuse(e.g.,adurationforthefreetrial).IfadeveloperprovidesafreetrialandYoudonotcancelduringthetrialperiod,Youmayincuradditionalcharges.OnceYoucancelYourtrial,YouwillimmediatelyloseaccesstotherelevantApplications. YOUROBLIGATIONS AccountInformation.Youmayberequiredtoprovideinformationsuchasname,address,andbillingdetails.TheGooglePrivacyPolicyexplainshowwetreatYourpersonaldataandprotectYourprivacywhenusingtheService.YouagreethatanysuchinformationYouprovidetoGooglewillalwaysbeaccurate,correct,anduptodate. Updates.ByusingtheService,YoumayneedtoinstallupdatestotheServicethatGoogleintroducesfromtimetotime.ApplicationsoriginatingfromGooglemaycommunicatewithGoogleserversfromtimetotimetocheckforavailableUpdatestotheApplicationsandtothefunctionalityoftheService.ByusingtheService,Youagreetosuchautomaticallyrequestedandreceivedupdates. MalwareProtection.Toprotectagainsttheeffectsofmaliciousthird-partysoftware,informationabouttheApplications(includingself-hostedApplications)thatYoudistributetoYourEndUsers,includingthesourceoftheApplicationandtheApplicationitself,maybesenttoGoogle.GooglewillusetheinformationtocompareagainstadatabaseofknownmalwaretodetermineiftheApplicationisharmfulorlikelytobeunsafe.GooglemaywarnYouifitconsiderstheApplicationtobeunsafe,orblockitsinstallationtoYourEndUsersifitisknowntoGoogletobeharmfultodevices,dataorusers. GeographicRestrictions.DevelopersmayplacegeographiclimitationsonwhereApplicationscanbedistributedtoYourEndUsers.YouagreetoonlydistributeagivenApplicationtoEndUsersthatarephysicallylocatedinacountrywhichthedeveloperoftheApplicationhasapprovedasacountryofdistribution. PURCHASES,FEES,PAYMENTS PurchaseofApplications.GoogleistheoperatoroftheService.WhenYoubuyanApplicationonGooglePlayStore,YoubuyitinaccordancewiththethencurrentGooglePlayTermsofService. GooglePayments.YouwillneedaGooglePaymentsaccounttopurchaseApplications. PaymentProcessing.GooglemaymakeavailabletoYouvariouspaymentprocessingmethodstofacilitatethepurchaseofApplications.GooglemayaddorremovepaymentprocessingmethodsatitssolediscretionandwithoutnoticetoYou.Youmustabidebyanyrelevanttermsandconditionsorotherlegalagreement,whetherwithGoogleorathirdparty,thatgovernsYouruseofagivenpaymentprocessingmethod.YouagreetopayforanyApplicationsthatYouorderandthatGooglemaychargeYourcreditcardorotherformofpaymentthatYouindicateforanyApplicationsordered,alongwithanyadditionalamounts(includinganytaxes).YouagreethatYouaresolelyresponsibleforallfeesassociatedwithpurchasesYoumakeonthemanagedPlayStore. Pricing.PricingandavailabilityofApplicationsaresubjecttochangeatanytime. Taxes.YouareresponsibleforanyTaxes,andmustpayGoogleforApplicationswithoutanyreductionforTaxes.IfGoogleisobligatedtocollectorpayTaxes,theTaxeswillbeinvoicedtoYou,unlessYouprovideGooglewithavalidtaxexemptioncertificateauthorizedbytheappropriatetaxingauthority.IfYouarerequiredbylawtowithholdanyTaxesfromYourpaymentstoGoogle,YoumustprovideGooglewithanofficialtaxreceiptorotherappropriatedocumentationtosupportsuchpayments.Youmustcomplywithanyandallapplicabletaxlaws,includingthereportingandpaymentofanytaxesarisinginconnectionwithYouruseof,orthepurchaseofApplicationsthrough,theService.ThereportingandpaymentofanysuchapplicabletaxesareYourresponsibility. Third-PartyFees.Youmayincuraccessordatafeesfromthirdparties(suchasYourInternetproviderormobilecarrier)inconnectionwithYouruseofApplicationsandService.Youareresponsibleforallsuchfees. AllSalesFinal.ExceptasexpresslysetforthinthisAgreementortheRefundPolicy,allsalesarefinal,andnoreturns,replacements,orrefundsarepermitted.Ifareplacement,return,orrefundisgrantedforanytransaction,thetransactionmaybereversed,andYoumaynolongerbeabletoaccesstheApplicationthatYouacquiredthroughthattransaction.Yourrightstowithdraw,cancel,orreturnpurchasesandgetarefundaresetoutinthesetermsandtheRefundPolicy. RIGHTSANDRESTRICTIONS LicensetoUse.GooglegrantstoYouaworldwide,non-sublicensable,non-transferable,non-exclusive,limitedlicensetousetheServiceduringtheTerm. SecurityFeatures.Youmaynotattempt,norassist,authorize,orencourageothers,tocircumvent,disable,ordefeatanyofthesecurityfeaturesorcomponents,suchasdigitalrightsmanagementsoftwareorencryption,thatprotect,obfuscate,orotherwiserestrictaccesstotheService.IfYouviolateanysecurityfeature,Youmayincurcivilorcriminalliability ProprietaryNotices.Youmaynotremoveanywatermarks,labels,orotherlegalorproprietarynoticesincludedinanyApplication,andYoumaynotattempttomodifyanyApplicationsobtainedthroughtheService,includinganymodificationforthepurposeofdisguisingorchanginganyindicationsoftheownershiporsourceofanApplication. Term.ThisAgreementwillcommenceontheEffectiveDateandwillcontinueunlessterminatedbyeitherpartyinaccordancewiththisSection. Suspensionand/orTermination.IfGooglebecomesawareofanEndUser'sviolationoftheGooglePlayTermsofServiceorYourviolationofthisAgreement,thenGooglemaysuspendand/orterminatetheEndUserAccountortheadminaccount,asmaybeapplicable.IfGoogledisablesaccesstoallEndUserAccountsortheadminaccount,thiswilldisableaccesstotheService,includinganyApplicationsoraccountdetailsthatarestoredwiththeapplicableaccount. TerminationforBreach.EitherpartymayterminatethisAgreementiftheotherpartyisinmaterialbreach,oriftheotherpartymateriallybreachesanyprovisionofthisAgreementandfailstoremedythatbreachwithin30daysafterreceiptofwrittennoticethereof. TerminationforConvenience.EitherpartymayterminatethisAgreementforitsconvenienceatanytimeupon60daysnoticetotheotherparty;noticeincludes,butisnotlimitedto,deletionofYouraccount,unsubscribingfromtheService,orunbindingYouraccountfromYourEMMprovider. EffectofTermination.IftheAgreementisterminated,thenthelicensetousetheServiceandallotherrightsandlicensesgrantedbyonepartytotheother,oranyservicesprovidedbyGoogletoYouunderthisAgreement,willceaseimmediately.Upontermination,GooglewilldeleteallofYourdatawithin60days.Forclarity,ontermination,GooglewillnotbeobligatedtorefundYouoranyEndUserforanyunusedpaidServiceorApplications. SUPPORTSERVICES TechnicalSupport.GooglewillusereasonableeffortstoprovidetechnicalsupportforGoogle-SupportedFeaturestoYou.RequestsfortechnicalsupportnotrelatedtotheGoogle-SupportedFeaturesshouldbedirectedtoYourEMMprovider.YoumayberequiredtosupplysupportagentswithacustomerPINmadeavailabletoYoubyGoogletoaccesstechnicalsupportservices.Fortheavoidanceofdoubt,forChromeOSDevicestechnicalsupportservicesareexclusivelygovernedbyYourapplicableLicenseAgreementforChromeDeviceManagementforWorkandEducation. MODIFICATIONS ModificationstotheService.GooglemaymakecommerciallyreasonablechangestotheServicefromtimetotime.IfGooglemakesmaterialchangestotheService,GooglewillinformYouviaemail. ModificationstothisAgreement.GooglemaymakechangestothisAgreementfromtimetotime.IfGooglemakesamaterialchangetothisAgreement,GooglewillinformYou.Anychangeswillbecomeeffective,andwillbedeemedacceptedbyYou:(i)immediatelyfornewaccounts,or(ii)forpre-existingaccounts,onthedatespecifiedinthenotice,whichwillbenosoonerthan30daysafterthechangesareposted(exceptchangesrequiredbylawwhichwillbeeffectiveimmediately).IfYoudonotagreewiththemodificationstotheAgreement,YoumustterminateYouruseoftheService,whichwillbeYoursoleandexclusiveremedy.YouagreethatYourcontinueduseoftheServiceconstitutesYouragreementtothemodifiedtermsofthisAgreement. CONFIDENTIALITY;PUBLICITY Confidentiality.TherecipientofConfidentialInformationwillnotdiscloseit,excepttoaffiliates,employees,agentsorprofessionaladvisorswhoneedtoknowitandwhohaveagreedinwriting(orinthecaseofprofessionaladvisorsareotherwisebound)tokeepitconfidential.TherecipientwillensurethatthosepeopleandentitiesusetheConfidentialInformationonlytoexerciserightsandfulfilobligationsunderthisAgreement,andthattheykeepitconfidential.TherecipientmayalsodiscloseConfidentialInformationwhenrequiredbylawaftergivingreasonablenoticetothediscloser,ifpermittedbylaw. Publicity.NeitherpartymaymakeanypublicstatementregardingtherelationshipcontemplatedbythisAgreementwithouttheother’spriorwrittenapproval. INTELLECTUALPROPERTYExceptasexpresslysetforthherein,thisAgreementdoesnotgranteitherpartyanyrights,impliedorotherwise,totheother’scontentoranyoftheother’sintellectualproperty.Asbetweentheparties,Google,itslicensorsand/oritsaffiliatesownsallintellectualpropertyrightsintheService. REPRESENTATIONSEachpartyrepresentsthatithasfullpowerandauthoritytoenterintotheAgreement.Eachpartywarrantsthatitwillcomplywithallapplicablelawsandregulationsapplicabletoitsprovision,oruse,oftheService. GENERALPROVISIONS Notices.AllnoticesofterminationorbreachmustbeinEnglish,inwritingandaddressedtotheotherparty’sLegalDepartment.TheaddressfornoticestoGoogle’sLegalDepartmentislegal-notices@google.com.AllothernoticesmustbeinEnglish,inwritingandaddressedtotheotherparty’sprimarycontact.Noticewillbetreatedasgivenonreceipt,asverifiedbywrittenorautomatedreceiptorbyelectroniclog(asapplicable). Assignment.NeitherpartymayassignanypartofthisAgreementwithoutthewrittenconsentoftheother,excepttoanaffiliatewhere:(i)theassigneehasagreedinwritingtobeboundbythetermsofthisAgreement;(ii)theassigningpartyremainsliableforobligationsundertheAgreementiftheassigneedefaultsonthem;and(iii)theassigningpartyhasnotifiedtheotherpartyoftheassignment.Anyotherattempttoassignisvoid. ChangeofControl.Ifapartyexperiencesachangeofcontrol(forexample,throughastockpurchaseorsale,merger,orotherformofcorporatetransaction):(i)thatpartywillgivewrittennoticetotheotherpartywithin30daysafterthechangeofcontrol;and(ii)theotherpartymayimmediatelyterminatethisAgreementanytimebetweenthechangeofcontroland30daysafteritreceivesthatwrittennotice. ConflictingTerms.IfthereisaconflictbetweenanytermofthisAgreement,theGoogleTermsofService,theGooglePlayTermsofService,orothertermsreferencedherein,thedocumentswillcontrolinthefollowingorder:thisAgreement,theGooglePlayTermsofService,theGoogleTermsofService,theGooglePrivacyPolicy,andanyothertermslocatedataURL.IfthisAgreementistranslatedintoanyotherlanguage,andthereisadiscrepancybetweentheEnglishtextandthetranslatedtext,theEnglishtextwillgovern. ForceMajeure.Neitherpartywillbeliableforfailureordelayinperformancetotheextentcausedbycircumstancesbeyonditsreasonablecontrol. NoAgency.ThisAgreementdoesnotcreateanyagency,partnership,orjointventurebetweentheparties. NoWaiver.Neitherpartywillbetreatedashavingwaivedanyrightsbynotexercising(ordelayingtheexerciseof)anyrightsunderthisAgreement. Severability.Ifanyterm(orpartofaterm)ofthisAgreementisinvalid,illegalorunenforceable,therestoftheAgreementwillremainineffect. NoThird-PartyBeneficiaries.ThisAgreementdoesnotconferanybenefitsonanythirdpartyunlessitexpresslystatesthatitdoes. EquitableRelief.NothinginthisAgreementwilllimiteitherparty’sabilitytoseekequitablerelief. CompliancewithApplicableLaw.Eachpartywillcomplywithapplicablelawinthefulfillmentofitsobligationshereunder.Inaddition,forclarity,asbetweenGoogleandYou,YouareresponsiblefortheoperationofYourbusinessincompliancewithapplicablelaw. GoverningLaw.ALLCLAIMSARISINGOUTOFORRELATINGTOTHISAGREEMENTWILLBEGOVERNEDBYCALIFORNIALAW,EXCLUDINGCALIFORNIA'SCONFLICTOFLAWSRULES,ANDWILLBELITIGATEDEXCLUSIVELYINTHEFEDERALORSTATECOURTSOFSANTACLARACOUNTY,CALIFORNIA,USA;THEPARTIESCONSENTTOPERSONALJURISDICTIONINTHOSECOURTS.
