(c) Privacy. GoTo's use of any information provided by you, including without limitation, Registration Data, is set forth in the Privacy Policy. BacktoLegal DeveloperAPITermsofUse LastUpdated:April2022 IMPORTANT–READCAREFULLY: TheseDeveloperAPITermsofUse(“Terms”)describethetermsandconditionsunderwhichtheGoTogroupofentities,includingalldirectandindirectsubsidiariesandaffiliatesthatarecontrolledorareundercommoncontrolwithGoToGroup,Inc.(collectively,“GoTo”or“we”)granttheuser(“you”)therighttoaccessandusetheapplicationprogramminginterfacesorsimilardevelopmenttoolswhichestablishaninterfacewithGoTo’sproductsandservices(“APIs”)thataremadeavailablebyGoTo.IfyouusetheAPIsinconjunctionwithotherServices(asdefinedbelow),thenthetermsapplicabletothoseServicesalsoapply. BycompletinganyapplicableregistrationprocessorbyaccessingorusinganyAPIsofferedbyGoTo,yourepresentthatyou:(i)havetheauthoritytobindthepartyusingtheAPIs;and(ii)haveread,understand,andagreetotheTermsunlessotherwisesetforthinaseparatewrittenagreementbetweenyouandGoTo. WemayupdatetheseTermsfromtimetotime.YourcontinuedaccesstoanduseofanyAPIsconstitutesyouracceptanceofthethen-currentTerms.IfyoudonotagreewithanymodificationstotheseTerms,youronlyrecourseistodiscontinueyouruseofanyAPIs. Definitions (a)Applicationmeansanysoftwareapplication,product,service,orwebsitethatyoudevelop,ownoroperatetointeractwithanyAPI. (b)GoToBrandsmeansthenameandrelatedmarksofanyoftheServicesforwhichAPIsaremadeavailablebyGoTothroughitswebsitesorproperties,assuchServicesarefurtherdescribedinGoTo’s BrandingGuidelines (c)ConfidentialInformationmayinclude,butisnotlimitedto,nonpublicinformationregardingtheAPIsorGoToapplications,products,services,data,ideas,inventions,features,software,techniques,technology,tradesecrets,andbusinessandfinancialinformation,oranyotherinformationrelatingtoGoTothatbecomesknowntoyouthroughdisclosure,observationorotherwise,andthateitherisdesignatedasconfidentialbyGoTo,byitsnaturewouldbegenerallydeemedtobeconfidentialinformation,orthatisnotgenerallyknownorreadilyascertainabletothepublic. (d)RegistrationDatameanslimitedinformationaboutyoucollectedbyGoToduringtheonlineregistrationprocess. (e)ServicesmeanstheGoTosoftware-as-a-serviceofferingsandaudioservices(whichmaybeofferedbytheappropriateGoToaffiliate(s)responsiblefortheratesandtermsrelatingtotherespectiveaudioservices),asdescribedinthe ServiceDescriptions OnlineRegistration.InordertoaccessoruseanAPI,youmust:(i)completetheapplicableonlineregistrationprocess;(ii)electronicallyaccepttheseTerms;and(iii)completetheregistrationfortheApplicationutilizingtheAPIyouwishtoaccess. YoumustseparatelyregistereachApplicationyouintendtodevelop.Allregistrationrequestscanbesubmittedathttps://developer.goto.com/signup.GoTomayrejectyourApplicationregistrationinitssolediscretion.IntheeventyourApplicationregistrationisrejectedbyGoTo,youmaysubmitanewApplicationregistration.  (a)RegistrationData. YourepresentandwarrantthatallRegistrationDataprovidedbyyouiscurrent,complete,andaccurate,andyouaresolelyresponsibleforupdatingyourRegistrationDataasnecessary.GoToreservestherighttoremoveyouraccesstotheAPIsimmediatelyifyourRegistrationDataisfoundtobeinaccurate,incomplete,ornotcurrentatanytime.RegistrationDataissubjecttoautomaticprocessingbyGoToforthepurposesofmanagingyouraccount,inaccordancewiththe PrivacyPolicy. (b)AccountPassword/Security.Youareresponsibleformaintainingtheconfidentialityofyourpasswordandaccountandforallactivitiesthatoccurunderyouraccount.YouagreetonotifyGoToimmediatelyofanyunauthorizeduseofyouraccountoranyotherbreachofsecurity.GoToisnotliableforanylossthatyoumayincurasaresultofathirdpartyusingyourpasswordoraccount,eitherwithorwithoutyourknowledge. (c)Privacy.GoTo’suseofanyinformationprovidedbyyou,includingwithoutlimitation,RegistrationData,issetforthinthePrivacyPolicy.YouunderstandandagreethatGoTomayaccess,preserve,ordiscloseyourinformationifrequiredtodosobylaw. LicensesandRestrictions. (a)APILicense. SubjecttotheseTerms,GoTograntsyoualimited,revocable,non‑exclusivenon-subslicensable,non-transferablelicensetoaccesstheAPIs:(i)todevelop,test,andsupportyourApplication;and(ii)toenableendusersofyourApplicationtoconnecttoandcommunicatewiththeapplicableServices.YouarenotpermittedtoaccessorusetheAPIsbeyondthescopeofthedescriptionprovidedintheApplicationregistrationthathasbeenacceptedbyGoTo. (b)IntegrationMarketing.GoTomayallowyoutolistyourApplication,logo(s),andnatureoftheintegrationofferedononeormoreofitsonlineportalsormarketplaceproperties.Totheextentyouutilizesuchfunctionality,youarefullyresponsiblefortheaccuracyandcompletenessofsuchinformation,andGoTowillhavenoliabilityforit. (c)BrandLicenseandTrademarks.SubjecttotheseTerms,eachpartygrantstheotheralimited,revocable,non‑exclusive,non-sublicensable,non‑transferablelicensetodisplaytheapplicableGoToBrandsoryournameandlogo(s),asapplicable,solelyasnecessaryto:(i)showcompatibilitywiththeService;or(ii)enableendusersofyourApplicationtoconnecttoandcommunicatewiththeapplicableServicesinfurtheranceofthelicensegrantedinSection3.a.AnyuseofGoToBrandsorlogosmustbesubjecttotheCo-BrandingGuidelinesfound here.Neitherpartyispermittedtouse,register,orattempttoregisteranytrademarksordomainnamesthatarederivedfromorareconfusinglysimilartothoseoftheotherparty. (d)Restrictions.ByusinganyAPIs,youagreenotto:(i)modify,preparederivativeworksof,orreverseengineer,ourAPIs,Services,ortechnology;(ii)useourAPIsorServicesinawaythatabusesordisruptsournetworks,securitysystems,useraccounts,ortheServices,asdeterminedbyGoTo;(iii)accessorusetheAPIsforfraudulentorillegalpurposes,orforanypurposethatmaybeharmfultoGoTooritsServices;(iv)market,sell,orreselltheAPIsortheServicestoanythirdparty;(v)usetheServicesinviolationofourpolicies,applicablelaws,orregulations;(vi)usetheAPIsinanyapplication,product,orservicethatcompeteswithanyapplication,product,orServiceofferedbyGoTo,ortootherwisedivertGoTocustomersorpotentialcustomersfromtheServices;(vii)harvest,collect,divert,orgathercustomer,user,orend-userdataofeitherGoToortheservice/offeringtowhichthisAPIisconnectedwithoutlawfulbasisand writtenconsentfromGoTo;(viii)transmitthroughtheAPIsorServicesanymaterialthatmayinfringetheintellectualpropertyorotherrightsofthirdparties,or(ix)removeanyproprietaryrightsnoticesonanyAPIs,theGoToBrands,andanyothermaterialsyoureceiveinconnectionwithyouruseoftheAPIs;(x)makeanyrepresentationswithrespecttoGoTo,theServices,ortheseTerms;(xi)displaytheGoToBrandsinamannerthatcouldreasonablyimplyanendorsement,relationship,oraffiliationwithorsponsorshipbetweenyouorathirdpartyandGoTo;and/or(xii)accessorusetheAPIsinamannerthatexceedsareasonablerequestvolumeorconstitutesexcessiveorabusiveusage,asdeterminedbyGoTo. (e)SecurityandPrivacy-by-Design.Youagreetoimplementappropriate,industrystandard,securecoding,privacy-by-design,andotherappropriaterecognizedsecuritymethodologieswhendesigningyourApplicationinamannerintendedtoprotectanyinformationaccessible,processed,hosted,ortransferredfromeitherGoToServicesoranythird-partyservice/producttowhichthisAPIconnects.GoToreservestherighttotest,validate,and/orinquireaboutyourAPIuseconsistentwiththerequirementsherein. ProprietaryRightsandGoToMarks.Youacknowledgethatweorourlicensorsretainallproprietaryright,title,andinterestintheAPIs,theServices,andtheGoToBrands,andanyrelatedintellectualpropertyrights,including,withoutlimitation,allmodifications,enhancements,derivativeworks,andupgradesthereto.Youagreethatyouwillnotuseorregisteranytrademark,servicemark,businessname,domainnameorsocialmediaaccountnameorhandlewhichincorporatesinwholeorinparttheGoToMarksorissimilartoanyofthese. Termination.GoToreservestheright,initssolediscretion,andatanytime,tochange,suspend,ordiscontinueanyAPIorsuspendorterminateyourrightstoaccessorusetheAPIsordisplaytheGoToBrands. YoumaystopuseoftheAPIsandterminatetheseTermsatanytimebyclosingyouraccountandceasingallaccessanduseoftheAPIs. UponterminationoftheseTerms,youwillimmediatelydiscontinueallaccessanduseoftheAPIsandceasetodisplaytheGoToBrands.NeitherpartyshallbeliableforanydamagesresultingfromaterminationoftheseTermsinaccordancewiththisSection;provided,however,theterminationoftheseTermsshallnotaffectanyclaimarisingpriortosuchtermination. Sections4through12shallsurvivetermination. IndependentDevelopment.YouunderstandandacknowledgethatGoTomayfromtimetotimeindependentlycreateapplications,products,orservicesthataresimilartoorcompetitivewithyourapplications,products,orservices,andnothingintheseTermswillbeconstruedasrestrictingorpreventingGoTofromdoingso,andthatsuchactivitywillcreatenoobligationtoyou. Confidentiality.UnlessexpresslyauthorizedinwritingbyGoTo,youshallnotdisclosetoanythirdpartyanyConfidentialInformationofGoToorusesuchConfidentialInformationinanymannerotherthantoperformyourobligationsundertheseTerms.Theforegoingrestrictionsdonotapplytoanyinformationthat:(i)ispubliclydisclosedthroughnofaultofyourown;(ii)isalreadylawfullyinyourpossessionandnotsubjecttoaconfidentialityobligationtoGoTo;(iii)becomesknowntoyoufromathirdpartyhavinganapparentbonafiderighttodisclosetheinformation;or(iv)isConfidentialInformationthatyouareobligatedtoproducepursuanttoanorderofacourtofcompetentjurisdictionoravalidadministrativesubpoena,providedyousupplyGoTowithtimelynoticeofsuchcourtorderorsubpoena. Furthermore,youwillkeepinconfidenceallpasswordsand/orotheraccessinformationrelatedtotheAPIs. Warranties.YouherebywarranttoGoTothatyouhaveallnecessaryauthoritytoenterintoandperformyourobligationsundertheseTermswithouttheconsentofanythirdpartyorbreachofanycontractoragreementwithanythirdparty,andthattheusebyothersofyourapplications,products,orservicesshallnotviolatetherightsofanythirdparty(e.g.,copyright,patent,trademark,orotherproprietaryrights)oranyapplicablelaworregulation.YouherebyacknowledgeandagreethattheAPIsareprovidedbyGoToonan“ASIS”and“ASAVAILABLE”basis.GOTOEXPRESSLYDISCLAIMSALLWARRANTIESOFANYKIND,WHETHEREXPRESSORIMPLIED,INCLUDING,BUTNOTLIMITEDTO,THOSEOFMERCHANTABILITY,FITNESSFORAPARTICULARPURPOSE,ANDNON-INFRINGEMENT.GOTOMAKESNOWARRANTYTHATANYOFTHEAPIsWILLMEETYOURREQUIREMENTSORTHATYOURUSEOFTHEAPIsWILLBEUNINTERRUPTED,TIMELY,ORERROR-FREE;NORDOESGOTOMAKEANYWARRANTYASTOTHERESULTSTHATMAYBEOBTAINEDFROMTHEUSEOFTHEAPIsORTHATANYDEFECTSINTHEAPIsWILLBECORRECTED.NOINFORMATIONORADVICE,WHETHERORALORWRITTEN,OBTAINEDBYYOUFROMGOTOORTHROUGHTHEAPIsSHALLCREATEANYWARRANTYNOTEXPRESSLYMADEHEREIN. LimitationonLiability.INNOEVENTSHALLGOTOBELIABLEFORANYINDIRECT,SPECIAL,CONSEQUENTIALORINCIDENTALLOSS,EXEMPLARYOROTHERDAMAGESRELATEDTOTHESETERMS,WHETHERDIRECTORINDIRECT,INCLUDINGBUTNOTLIMITEDTO:(i)LOSSOFDATA;(ii)LOSSOFINCOME;(iii)LOSSOFOPPORTUNITY;(iv)LOSTPROFITS;OR(v)COSTSOFRECOVERYORANYOTHERDAMAGES,HOWEVERCAUSEDANDBASEDONANYTHEORYOFLIABILITY,ANDINCLUDING,BUTNOTLIMITEDTO,BREACHOFCONTRACT,TORT(INCLUDINGNEGLIGENCE),STATUTE,OROTHERWISE,ANDWHETHERORNOTGOTOHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.GOTO’sLIABILITYHEREUNDERISLIMITEDTO$50.00. Indemnification.Youagreetodefend,indemnify,andholdharmlessGoToanditsaffiliates,andtheirrespectivedirectors,officers,agents,employees,consultants,andpartners,fromandagainstanythirdpartyclaimarisingfromorinanywayrelatedtoyouruseoftheAPIs,anyviolationoftheseTermsbyyou,oranyotheractionsrelatedtoyouruseoftheAPIs,includinganyliabilityorexpensearisingfromclaims,losses,damages(actualorconsequential),suits,judgments,litigationcostsandreasonableattorneys’fees,ofeverykindandnature. ChoiceofLawandLocationforResolvingDisputes.TheseTermsaregovernedbylawsoftheStateofDelaware,withoutreferencetoitschoiceoflawrules.ExclusivejurisdictionoverandvenueofanydisputearisingoutoforrelatingtotheseTermswillbeintheappropriatestateorfederalcourtsofDelaware. AdditionalTerms. (a)RelationshipoftheParties. YouandGoToareindependentcontractors.TheseTermsdonotcreateapartnership,franchise,jointventure,agency,fiduciary,oremploymentrelationshipbetweentheparties. (b)Assignment. YoumaynotassignyourrightsordelegateyourdutiesundertheseTermseitherinwholeorinpart,byoperationoflaworotherwiseandanysuchattemptedassignmentordelegationshallbevoid. (c)ForceMajeure. Neitherpartywillberesponsibleforanydelay,interruptionorotherfailuretoperformundertheseTermsduetoactsbeyonditsreasonablecontrol,butonlyforsolongassuchconditionspersist.Forcemajeureeventsinclude,butarenotlimitedto:naturaldisasters(e.g.,lightning,earthquakes,hurricanes,floods);wars,riots,terroristactivities,andcivilcommotions;activitiesoflocalexchangecarriers,telephonecarriers,wirelesscarriers,Internetserviceproviders,andotherthirdparties;explosionsandfires;embargoes,strikes,andlabordisputes;governmentaldecrees;andanyothercausebeyondthereasonablecontrolofaparty. (d)Notice GoTomayprovideyouwithnoticeviaemail,regularmail,and/orpostingsontheGoTowebsite. (e)High-RiskUse. YouherebyacknowledgethattheAPIsandtheServicesarenotdesignedorintendedforaccessand/oruseinorduringhigh-riskactivitiesincluding,butnotlimitedto:medicalprocedures;onlinecontrolofaircraft,airtraffic,aircraftnavigationoraircraftcommunications;orthedesign,construction,operationormaintenanceofanynuclearfacility.GoToherebyexpresslydisclaimsanyexpressorimpliedwarrantyoffitnessforsuchpurposes. (f)CompliancewithLaws. Bothpartiesagreetocomplywithallapplicablelocal,state,nationalandforeignlaws,rules,andregulations,including,butnotlimitedto,allapplicableexportandimportlawsandregulations,inconnectionwiththeirperformance,accessand/oruseoftheAPIsundertheseTerms. (g)NoWaiver. Thefailureofeitherpartyinanyoneormoreinstance(s)toinsistuponstrictperformanceofanyofthetermsoftheseTermswillnotbeconstruedasawaiverorrelinquishmentoftherighttoassertorrelyuponanysuchterm(s)onanyfutureoccasion(s). (h)NoThirdPartyBeneficiaries. NopersonorentitynotapartytotheseTermswillbedeemedtobeathirdpartybeneficiaryoftheseTermsoranyprovisionhereof. (i)EntireAgreement. TheseTermssetforththeentireagreementandunderstandingofthepartiesrelatingtothesubjectmatterhereofandsupersedesallpriorandcontemporaneousoralandwrittenagreementsandunderstandingswithrespecttothesame.NowaiveroramendmentofanytermorconditionoftheseTermsshallbevalidorbindingoneitherpartyunlessagreedtoinwritingbybothparties.IfanyprovisionoftheseTermsisdeclaredbyacourtofcompetentjurisdictiontobeinvalid,illegal,orunenforceable,suchprovisionshallbeseveredfromtheseTermsandtheotherprovisionsshallremaininfullforceandeffectandthepartiesagreetocomplywiththeremainingtermsinamannerconsistentwiththeoriginalintentoftheseTerms. Intheeventofanyconflictbetweenthecontentofthisdocumentandthedocumentsincorporatedbyreference,thisdocumentshallcontrolwithrespecttoyouruseoftheAPIs. (j)Remedies. YouacknowledgethatyourbreachoftheseTermsmaycauseirreparableharmtoGoTo,theextentofwhichwouldbedifficulttoascertain.Accordingly,youagreethat,inadditiontoanyotherremediestowhichGoTomaybelegallyentitled,GoToshallhavetherighttoimmediatelyseekinjunctivereliefintheeventofabreachoftheseTermsbyyouorbyanyofyourofficers,employees,consultantsorotheragents.
