YouruseofanyoftheGoogleMapsAPIs(referredtointhisdocumentas the"MapsAPI(s)"orthe"Service")issubjecttothe termsofalegalagreementbetweenyouandGoogle(the"Terms"). "Google"meanseither(a)GoogleIrelandLimited,withofficesat GordonHouse,BarrowStreet,Dublin4,Ireland,ifyourbillingaddressisinanycountry withinEurope,theMiddleEast,orAfrica("EMEA");(b)GoogleAsiaPacific Pte.Ltd.,withofficesat70PasirPanjangRoad,#03-71,MapletreeBusinessCity,Singapore 117371,ifyourbillingaddressisinanycountrywithintheAsiaPacific regionexcludingAustralia("APAC");(c)GoogleAustraliaPtyLtd.with officesatLevel5,48PirramaRoad,Pyrmont2009,NSW,Australia,ifyourbilling addressisinAustralia;or(d)GoogleInc.,withofficesat1600AmphitheatreParkway, MountainView,California94043,USA,ifyourbillingaddressisinanycountryintheworld otherthanthoseinEMEA,APACorAustralia. 1.2TheTermsincludeGoogle's LegalNoticesandPrivacyPolicy. UnlessotherwiseagreedinwritingwithGoogle,theTerms willincludethefollowing: thetermsandconditionsinthisdocument(the "MapsAPIsTerms"); the LegalNotices;and the PrivacyPolicy. BeforeyouusetheMapsAPI(s),youshouldreadeachofthe documentscomprisingtheTerms,andprintorsavealocalcopy foryourrecords. 1.3UseofOtherGoogleServicesand AdditionalTerms. IfyouusetheMapsAPI(s)inconjunctionwithanyotherGoogle products,includinganyotherGoogleAPI(s),(collectively,theService andallotherGoogleproductsandservicesarereferredtoasthe "GoogleServices"),youragreementwithGooglewill alsoincludethetermsapplicabletothoseGoogleServices.Allof thesearereferredtoasthe"AdditionalTerms." IfAdditionalTermsapply,theywillbeaccessibletoyoueither withinorthroughyouruseoftheapplicableGoogleServices. IfthereisanycontradictionbetweentheAdditionalTermsandthe MapsAPIsTerms,thentheMapsAPIsTermswill takeprecedenceonlyastheyrelatetotheMapsAPI(s),andnottoany otherGoogleServices. 1.4Precedenceof MapsAPIsTerms. IfthereisanycontradictionbetweentheMapsAPIsTermsand otherMapsAPI(s)-relateddocuments(includingthe MapsAPIsDocumentation),thenthe MapsAPIsTermswilltakeprecedence. 1.5ChangestotheTerms. GooglereservestherighttomakechangestotheTermsfromtimetotime. Whenthesechangesaremade,Googlewillmakeanewcopyofthe Termsavailableat http://developers.google.com/maps/terms (orsuchotherURLasGooglemayprovide).Youunderstandandagree thatifyouusetheServiceafterthedateonwhichtheTermshave changed,GooglewilltreatyouruseasacceptanceoftheupdatedTerms. Ifamodificationisunacceptabletoyou,youmayterminatethis agreementbyceasinguseoftheMapsAPI(s). 2.AcceptingtheTerms. 2.1ClickingtoAcceptorUsing theMapsAPI(s). InordertousetheMapsAPI(s),youmustagreetotheTermsby: clickingtoaccepttheTerms,wherethisoptionismade availabletoyoubyGoogleintheService’suserinterface;or usingtheMapsAPI(s).YouunderstandandagreethatGoogle willtreatyouruseoftheMapsAPI(s)asacceptanceofthe Termsfromthatpointonwards. 2.2U.S.LawRestrictions. YoumaynotusetheMapsAPI(s)andmaynotaccepttheTermsif youareapersonbarredfromusingtheServiceunderUnited Stateslaw. 2.3AuthoritytoAccepttheTerms. Yourepresentthatyouhavefullpower,capacity,andauthorityto accepttheseTerms.Ifyouareacceptingonbehalfofyouremployer oranotherentity,yourepresentthatyouhavefulllegalauthority tobindyouremployerorsuchentitytotheseTerms.Ifyoudon't havethelegalauthoritytobind,pleaseensurethatanauthorized personfromyourentityconsentstoandacceptstheseTerms. 3.PrivacyandPersonalInformation. 3.1Google’sPrivacyPolicy. ForinformationaboutGoogle'sdataprotectionpractices,pleaseread Google'sPrivacyPolicy.ThispolicyexplainshowGoogletreats yourpersonalinformationandprotectsyourprivacywhenyouusethe Service. 3.2UseofYourDataunder Google’sPrivacyPolicy. Youagreetotheuseofyourdatainaccordancewith Google'sPrivacyPolicy. 3.3YourPrivacyPolicy. Youmustpostandabidebyanappropriateprivacypolicyinyour MapsAPIImplementationinaccordancewith Section9.3(EndUserTermsandPrivacyPolicy). 3.4ApplicablePrivacyLaws. Youwillcomplywithallapplicablelawsrelatingtothecollection ofinformationfromvisitorstoyourMapsAPIImplementation. 3.5EuropeanDataProtectionTerms. YouandGoogleagreetothe GoogleMapsController-ControllerDataProtectionTerms. 3.6NoPersonallyIdentifiableInformationorPersonal Data. YoumustnotprovidetoGoogle:(a)anypersonallyidentifiableinformationordevice identifiers;or(b)anyEuropeanperson’sPersonalData(where“European”means “EuropeanEconomicAreaorSwitzerland”and“PersonalData”hasthemeaningprovidedin theGeneralDataProtectionRegulation(EU)2016/679oftheEuropeanParliamentandof theCouncilofApril27,2016).UsersofyourMapsAPIImplementationmayprovide informationdirectlytoGooglethroughyourMapsAPIImplementation,asneeded. 4.ProvisionoftheServicebyGoogle. 4.1Google’sSubsidiariesand Affiliates. Googlehassubsidiariesandaffiliatedlegalentitiesaround theworld("SubsidiariesandAffiliates"). Sometimes,thesecompanieswillbeprovidingtheServicetoyou onbehalfofGoogleitself.Youunderstandandagreethat SubsidiariesandAffiliateswillbeentitledtoprovidethe Servicetoyou. 4.2LimitsonYourUseof theService. YouunderstandandagreethatGooglemaylimitthenumber oftransactionsyoumaysendorreceivethroughtheService; suchfixedupperlimitsmaybesetbyGoogleatanytime, atGoogle’sdiscretion.Forfurtherinformation,see Section10.4(b)below. 4.3Advertising. Inplacesresults.Googlereservestherightto includeadvertisingintheplacesresultsprovidedtoyou throughtheMapsAPI(s).ByusingtheMapsAPI(s)toobtain placesresults,youagreetodisplaysuchadvertisinginthe formprovidedtoyoubyGoogle. Inmapsimages.Googlealsoreservestherightto includeadvertisinginthemapsimagesprovidedtoyouthrough theMapsAPI(s),subjecttothefollowingprovisions. InthisSection,"AdsNotice"meansanoticefromGooglethat itwillincludeadvertisinginaparticularMapsAPI.TheAds NoticemaybeprovidedonrelevantGooglewebsites,including the GoogleGeoDevelopersBlog(orsuchotherURLasGooglemay provide)andtheapplicableGoogleMapsAPIGroups. NewMapsAPI(s)andmajorversionupgradesofexisting MapsAPI(s)launchedwithanAdsNotice.A"majorversion" ofaMapsAPIisdenotedbyanew"wholenumber"inthe versionname(forexample,a"majorversion"changeoccurs ifAPIv4.5isreplacedbyv5.0).Byusingthemapsimages inthesenewormajorversionupgradesoftheMapsAPI(s), youagreetodisplaytheadvertisingincludedinthosemaps imagesintheformprovidedtoyoubyGoogle. MapsAPI(s)andmajorversionupgradesofexisting MapsAPI(s)launchedwithoutanAdsNotice.ForanyMaps APIthatGooglehaslaunched(orlaunchesinthefuture) withoutanAdsNotice,Googlewillnotincludeadvertising inthatAPI’smapsimagesunlessGoogleprovidesyouwith anAdsNoticeatleast90daysbeforehand (the"AdsNoticePeriod"). MapsAPIImplementationsthatincorporatedthe MapsAPI(s)beforeApril8,2011. IfyourMapsAPIImplementationincorporatedamajor versionofaMapsAPIbeforeApril8,2011,youhavea limitedrighttooptoutofadvertisinginthemapsimages providedthroughthatmajorversionofthatMapsAPIby providingwrittennoticetoGoogleduringtheAdsNotice Period;yournoticemuststatethatyourefusetoaccept advertisinginthemapsimagesandmustbeprovidedto GoogleinaccordancewithGoogle'snoticerequirements (asspecifiedinGoogle'sAdsNotice). Optingoutofads.Youmayatanytimeoptoutof advertisingintheplacesresultsandthemapsimagesbyeither: contactingthe GoogleMapssalesteamtoobtaina Googleenterpriselicense;or terminatingyouruseoftheService. Indexingandcachingforadsserving. ByusinganAPIthatservesads,yougiveGoogletherightto access,index,andcachethewebpagesorapplicationsthat containyourMapsAPIImplementation. 4.4ChangestotheService; DeprecationPolicy. ThefollowingistheService’s"DeprecationPolicy": Googlewillannounceifitintendstoremovemajorfeaturesfrom, ordiscontinue,anAPIortheService. Googlewillusecommerciallyreasonableeffortstocontinue tooperatethoseGoogleMapsAPIversionsandfeaturesidentified at http://developers.google.com/maps/maps-api-list withoutthesechangesuntiloneyearaftertheannouncement, unlessGoogledeterminesinitsreasonablegoodfaithjudgment that: itisrequiredbylaworthird-partyrelationship (includingchangesinlaworrelationships)tomakethose changesearlier;or doingsocouldcreateasecurityriskorsubstantial economicormaterialtechnicalburden. 5.YourGoogleAccount. 5.1SigningUpforaGoogle Account. InordertoaccesstheService,youmusthaveandmaintaina GoogleAccount ingoodstanding.Youmustensurethatanyinformationyougive toGoogleinconnectionwithyourGoogleAccountortheService willalwaysbeaccurate,correct,anduptodate. 5.2YourPasswordsandAccount Security. YouwillbesolelyresponsibletoGoogleforyouruseofthe Service.YoumustnotifyGoogleimmediatelyifyoubecomeaware ofanyunauthorizeduseofyourpassword;yourGoogleAccount; oranyuniqueidentifierthatGooglerequiresyoutouse,suchasan APIKeyorclientID(a"DeveloperIdentifier"). 6.Google’sProprietaryRights. YouunderstandandagreethatGoogleanditslicensorsandtheir suppliers(asapplicable)ownalllegalright,title,and interestinandtotheServiceandContent,includingany intellectualpropertyrightsintheServiceandContent(whether thoserightsareregisteredornot,andwhereverintheworld thoserightsmayexist). 7.PermittedUses. YouwillusetheServiceonlyforpurposesthat: arepermittedbytheTerms(includingtheLicensesin Section8); arepermittedbyanyapplicablelaworthird-partycontract intherelevantjurisdictions;and complywithallapplicablepoliciesorguidelinesmadeavailable byGoogle,includinginthe MapsAPIsDocumentationandthe PermissionGuidelinesforGoogleMapsandGoogleEarth. 8.LicensesfromGoogletoYou. 8.1Definitions. "BrandFeatures"meanstradenames,trademarks, logos,domainnames,andotherdistinctivebrandfeatures. "Content"meansanycontentprovidedthrough theService(whethercreatedbyGoogleoritsthird-party licensors),includingmapandterraindata,imagery,trafficdata, andplacesdata(includingbusinesslistings). "MapsAPIImplementation"meansasoftware application,website,orotherimplementationthatusesthe MapsAPI(s)toobtainanddisplayContentinconjunction withYourContent. "YourContent"meansanycontentthatyou provideinyourMapsAPIImplementation,includingdata,images, video,orsoftware.YourContentdoesnotincludetheContentas definedinSubsection(b). 8.2ServiceLicense. SubjecttotheseTerms(including Section9(LicenseRequirements) andSection10(LicenseRestrictions)), duringthetermofthisagreement,Googlegivesyouanon-exclusive, worldwide,personal,non-transferable,non-assignable, non-sublicensable,royalty-freelicensetousetheService asprovidedbyGoogle,inthemannerpermittedbytheTerms. 8.3ContentLicense. SubjecttotheseTerms(includingSections8.3(a)and(b), Section9(LicenseRequirements),and Section10(LicenseRestrictions)), duringthetermofthisagreement,Googlegivesyouanon-exclusive, worldwide,personal,non-transferable,non-assignable, non-sublicensable,royalty-freelicensetousetheContent inyourMapsAPIImplementation,astheContentisprovided intheService,andinthemannerpermittedbytheTerms. Content(includingmapdata,traffic,directions,andplaces) isprovidedforplanningpurposesonly.Youmayfindthatweather conditions,constructionprojects,closures,orothereventsmay causeroadconditionsordirectionstodifferfromtheresults depictedintheContent.Youshouldexercisejudgmentinyour useoftheContent. CertainContentisprovidedunder licensefromthirdparties,andissubjecttocopyright andotherintellectualpropertyrightsownedbyorlicensed tosuchthirdparties.Youmaybeheldliableforany unauthorizeduseofthiscontent.Youruseofthird-party Content(includingcertainbusinesslistingsContent)issubject toadditionalrestrictionslocatedinthe LegalNoticespage. 8.4BrandFeaturesLicense. Grant.SubjecttotheseTerms(includingSection8.4(b), Section9(LicenseRequirements),and Section10(LicenseRestrictions)), duringthetermofthisagreement,Googlegivesyoua non-exclusive,worldwide,personal,non-transferable, non-assignable,non-sublicensable,royalty-freelicenseto displayGoogle’sBrandFeaturessolelyforthepurposesof (i)promotingoradvertisingyourauthorizeduseofthe ServiceinaccordancewiththisSectionand(ii)fulfilling yourobligationsundertheTerms. Restrictions.InusingGoogleBrandFeatures, youwillnot: displayaGoogleBrandFeatureinanymannerthatimplies arelationshiporaffiliationwith,sponsorship,orendorsement byGoogle(otherthanyouruseoftheService),orthatcanbe reasonablyinterpretedtosuggesteditorialcontenthasbeen authoredby,orrepresentstheviewsoropinionsof,Google oritspersonnel; displayaGoogleBrandFeatureinyourMapsAPI Implementation,site,orotherpropert(ies)ifanyofthem containordisplayadultcontentorpromoteillegalactivities, gambling,orthesaleoftobaccooralcoholtopersonsunder 21yearsofage; havetheGooglelogoasthelargestlogoinyour MapsAPIImplementation,site,orotherpropert(ies) (exceptasdisplayedinthemapimageitself); displayaGoogleBrandFeatureasthemostprominentelement inyourMapsAPIImplementation,onanypageofyoursite, oronanyofyourotherpropert(ies); displayaGoogleBrandFeatureinamannerthatis misleading,defamatory,infringing,libelous,disparaging, obscene,orotherwiseobjectionabletoGoogle; useGoogleBrandFeaturestodisparageGoogleorthe GoogleServices; displayaGoogleBrandFeatureinyourMapsAPI Implementation,site,orotherpropert(ies)thatviolate anylaworregulation;or remove,distort,oralteranyelementofa GoogleBrandFeature(includingsqueezing,stretching, inverting,ordiscoloring). Nofurtherlicensegrant;nochallenges.Exceptas statedinthisSection,nothingintheTermsgrantsorwill bedeemedtograntyouanyright,title,orinterestinGoogle’s BrandFeatures.YouruseofGoogle’sBrandFeatures (includinganygoodwillassociatedwiththem)willinureto Google’sbenefit.DuringandaftertheTerm,andtothemaximum extentpermittedbyapplicablelaw,youwillnotchallengeorassist otherstochallengeGoogle’sBrandFeatures(ortheirregistration byGoogle),andyouwillnotattempttoregisteranyBrandFeatures (includingdomainnames)thatareconfusinglysimilartoGoogle’s inanyway(includinginsound,appearance,orspelling). 8.5ProprietaryRightsNotices. Youwillnotremove,obscure,oralteranyproprietaryrightsnotices (includingcopyrightandtrademarknotices,TermsofUselinks, orBrandFeatures)displayedorprovidedthroughtheService. WheresuchnoticesarenotdisplayedorprovidedwithintheService, youmustdisplaysuchnoticesaccordingtothe MapsAPIsDocumentation. 8.6U.S.GovernmentRestricted Rights.IftheServiceorContentisbeingusedoraccessed byoronbehalfoftheUnitedStatesgovernment,suchuseis subjecttoadditionaltermslocatedinour LegalNoticespage’s"GovernmentEndUsers"section. 8.7DeterminationofCompliance. Googlereservesthesolerightanddiscretiontodeterminewhether youruseoftheService,Content,andBrandFeaturescomplies withtheseTerms. 9.LicenseRequirements. Google’slicensesabovearesubjecttoyourcompliancewiththe followingrequirements: 9.1Free,PublicAccessibility toYourMapsAPIImplementation. 9.1.1GeneralRules. Freeaccess(nofees).SubjecttoSection9.1.2 (Exceptions),yourMapsAPIImplementationmustbeaccessible tothegeneralpublicwithoutchargeandmustnotrequire afee-basedsubscriptionorotherfee-basedrestrictedaccess. ThisruleappliestoYourContentandanyothercontentin yourMapsAPIImplementation,whetherYourContentorthe othercontentexistsnoworisaddedlater. Publicaccess(nofirewall).YourMapsAPI Implementationmustnotoperate(i)onlybehindafirewall; or(ii)onlyonaninternalnetwork(exceptduringthe developmentandtestingphase);or(iii)inaclosed community(forexample,throughinvitation-onlyaccess). 9.1.2Exceptions. EnterpriseagreementwithGoogle.Therulesin Section9.1.1(Freeaccess,Publicaccess)donotapply ifyouhaveenteredintoaseparatewrittenagreement withGoogle(suchasa GoogleMapsagreement)orobtainedGoogle's writtenpermission. Mobileapplications. TheruleinSection9.1.1(a)(Freeaccess)doesnot applyifyourMapsAPIImplementationisusedinamobile applicationthatissoldforafeethroughanonlinestore andisdownloadabletoamobiledevicethatcanaccess theonlinestore. TheruleinSection9.1.1(b)(Publicaccess)doesnot applyifyourMapsAPIImplementationisanAndroid applicationthatusestheGoogleMapsAndroidAPI. (However,theruleinSection9.1.1(b)(Publicaccess) willcontinuetoapplyifyourMapsAPIImplementation isanAndroidapplicationthatusesanyotherMapsAPIs, unlesstheMapsAPIImplementationqualifiesforthe exceptioninSection9.1.2(a)(Enterpriseagreement withGoogle).) 9.1.3Examples. YoucanrequireuserstologintoyourMapsAPI Implementationifyoudonotrequireuserstopayafee. YoucanchargeafeeforyourMapsAPIImplementation ifitisanAndroidapplicationdownloadabletomobile devicesfromtheGooglePlayStore. IfyouareaconsultantwhocreatesorhostsMapsAPI Implementationsforthird-partycustomers,youmaycharge thosecustomersafeeforyourconsultingorhosting services(butnotfortheMapsAPIImplementationsthemselves, exceptaspermittedunderSection9.1.2(Exceptions)). 9.2Reporting.Youmust implementthosereportingmechanismsthatGooglerequires (asupdatedfromtimetotimeintheseTermsandinthe MapsAPIsDocumentation). 9.3EndUserTermsand PrivacyPolicy. IfyoudevelopaMapsAPIImplementationforusebyother users,youmust: displaytotheusersofyourMapsAPIImplementation thelinktoGoogle’sTermsofServiceaspresentedthrough theServiceordescribedinthe MapsAPIsDocumentation; explicitlystateinyourMapsAPIImplementation’sterms ofusethat,byusingyourMapsAPIImplementation,your usersareagreeingtobeboundbythe GoogleMaps/GoogleEarthAdditionalTermsofService; and protecttheprivacyandlegalrightsofthoseusers. Yourprivacypolicy.Youmustmakepublicly available,andmustabideby,anappropriateprivacy policyinyourMapsAPIImplementation.Inparticular, ifyourMapsAPIImplementationenablesyouorany partytogainaccesstoinformationaboutusersof theMapsAPI(s),includingpersonallyidentifiable information(suchasusernames)ornon-personally identifiableusageinformation(suchaslocation), yourprivacypolicymustdescribeyouruseandretention ofthisinformation. Geolocationprivacy YourMapsAPIImplementationmustnotifythe userinadvanceofthetype(s)ofdatathatyou intendtocollectfromtheuserortheuser’s device.YourMapsAPIImplementationmustnot obtainorcacheanyuser’slocationinanymanner exceptwiththeuser'spriorconsent.YourMaps APIImplementationmustlettheuserrevokethe user'sconsentatanytime. IfyourMapsAPIImplementationprovidesGoogle withgeolocationdata,thatgeolocationdatamust notenableGoogletoidentifyanindividualuser. Forexample,ifyourMapsAPIImplementationsends GoogleYourContent,andYourContentincludes geolocationdata,YourContentmustnotalso includeuniquedeviceidentifiersassociated withindividualusers.
